Our client, a highly respected national law firm, is seeking an experienced Healthcare Transactions Attorney to join their on-site team in New York. This firm works with a broad portfolio of healthcare organizations, Fortune 500 companies, physician groups, medical device manufacturers, and healthcare technology companies.

Position Overview

The successful candidate will have extensive experience managing complex healthcare business transactions and navigating healthcare regulatory frameworks. This role requires exceptional drafting, negotiation, and analytical skills, along with current or very recent experience in a large law firm environment.

Key Responsibilities

  • Represent a wide range of healthcare clients, including hospitals, physician groups, long-term care organizations, pharmaceutical companies, and health technology firms.
  • Lead clients through mergers, acquisitions, divestitures, and the purchase or sale of healthcare entities.
  • Support private equity transactions, lending arrangements, and other capital markets activities within the healthcare sector.
  • Conduct detailed due diligence of financial, operational, and regulatory aspects of target entities.
  • Structure, draft, and negotiate agreements for strategic partnerships and joint ventures.
  • Draft and negotiate a broad range of contracts, such as:
  • Physician employment agreements
  • Vendor agreements
  • Managed care contracts
  • Healthcare technology agreements
  • Ensure all transactions comply with healthcare regulations including HIPAA, Stark Law, and anti-kickback statutes.
  • Advise clients on governance, risk management, compliance strategies, and succession planning.

Required Qualifications

  • 6+ years of healthcare transactional experience.
  • Current or very recent experience working in a large law firm.
  • Strong understanding of healthcare regulatory requirements.
  • Proven ability to negotiate and draft complex transactional documents.
  • Outstanding academic credentials (Law Review or Moot Court preferred).
  • Excellent verbal, written, and analytical skills.
  • Active New York Bar license required.
  • Ability to work on-site in New York

Compensation

$284,000 – $600,000 annually, depending on experience and qualifications.
