What awaits you in this role?

• Define inside information about the company, inform the relevant persons within the company about their legal responsibilities, keep a list of those who have access to inside information and make the necessary reporting to the state institutions within the scope of Capital Market Law,
• Establish communication with the Capital Markets Board, Borsa Istanbul, Central Registry Agency (MKK), entering the Company information on MKK's e-Company and e-GEM websites with the authorized electronic signature,
• Make material event disclosures to be publicly disclosed through MKK's PDP system, publishing our financial statements on the PDP, uploading material event disclosures to the company website,
• Handle capital increase, dividend payment and representation procedures in the general assembly of the Company and its subsidiaries and affiliates, and recording SAP offsets,
• Coordinate preparations fulfilment of all legal obligations for the Company Shareholders General Assembly meeting,
• Take part in the preparation of the quarterly and annual reports of the company, preparing the corporate governance principles compliance report,
• Follow up the corporate governance changes in the Capital Market Law and the Commercial Code, and updating related staff within the company,
• Provide information to the rating agency in the process of the Corporate Governance Rating Score given to the Company each year by the independent rating agency
• Responsible for keeping affiliate shares and negotiable documents in the safe room of the Finance & Enterprise Risk Directorate,
• Maintaine relations with the shareholders of the Company and being responsible for the legal transactions of the shares,
• Collaboration with sustainability department for the governance of related sustainability indices,
• Prepare the reports for Corporate Governance Committee and Executive Committee.

The position is located in Sütlüce, İstanbul.

How do we describe the perfect match?

• Bachelor’s degree in business administration, Economics, or other related fields (Master’s degree or PhD is a plus),
• Having a minimum of 5 years of experience in related processes in a BIST 100 Company,
• Strong knowledge and experience of applying the Capital Market Law, Turkish Commercial Code and the relevant Communiqués and Regulations of these Laws,
• Company Shareholders General Assembly meeting experience
• Excellent verbal and written skills in English along with presentation skills,
• Thinking broadly about business,
• Understanding needs of the market & consumer,
• Having the desire to do outstanding jobs,
• Recognizing and understanding the emotions of other people,
• Listening to different perspectives and showing flexibility,
• Building collaboration,
• Clear in communicating thoughts and ideas.
• Having a Capital Market Activities Level 3 License and Corporate Governance Rating License, e-General Assembly Certificate.
