Position Summary:
The Legal Advisor to the CEO will provide strategic legal counsel, ensuring that the organization’s operations, decisions, and initiatives comply with Saudi laws, regulations, and internal policies. This role acts as the CEO’s trusted legal partner, offering proactive risk management, contract negotiation, corporate governance support, and strategic advice to protect and advance the organization’s interests.
Key Responsibilities:
Strategic Legal Counsel

Advise the CEO and executive leadership on legal implications of business strategies, decisions, and transactions.

Provide timely and practical legal guidance on corporate, commercial, labor, compliance, and regulatory matters.
Contract & Transaction Management

Draft, review, and negotiate contracts, agreements, and memoranda of understanding to ensure alignment with organizational goals and risk tolerance.

Support mergers, acquisitions, joint ventures, and other high-value transactions.
Corporate Governance

Ensure compliance with corporate governance requirements, including board resolutions, shareholder agreements, and regulatory filings.

Support board meetings by preparing legal documentation and advising on corporate law matters.
Risk & Compliance

Identify potential legal risks and develop strategies to mitigate them.

Ensure compliance with Saudi laws, regulations, and internal policies across all jurisdictions in which the organization operates.
Litigation & Dispute Resolution

Oversee external counsel in litigation or arbitration matters.

Represent the organization's interests in negotiations, mediations, and settlements.
Qualifications:

Bachelor’s degree in Law (LL.B.) is required; Master’s degree or specialized certifications (e.g., corporate law, compliance) preferred.

Minimum 15 years of experience in corporate/commercial law.

Proven track record of advising senior executives or boards on legal and strategic matters.
