Legal & Corporate Governance Administrator

Yellow Door Energy's Legal Department is fundamental in driving the success of the business. We are strongly team oriented and the legal team's main function will be to support the commercial and technical teams of the business on a daily basis, as well as manage YDE's corporate governance.

The Legal & Corporate Governance Administrator will be responsible for gathering, preparing and summarizing relevant materials for the legal department. She/he will maintain all the corporate licenses of the company's subsidiaries, board and shareholder resolutions, perform legal research, record keeping and tracking of relevant legal documents, review and draft certain documents, support business transactions, and assist with general work required by the legal team.

Qualifications & Skills

  • Bachelor's Degree (any discipline)
  • Strong computer skills, including proficiency with Word, Excel and Power Point.
  • Excellent drafting skills & attention to details.
  • Ability to conduct negotiations with vendors and suppliers.

Preferred:

  • Undergraduate in Law or Paralegal certification/degree.
  • 1+ years of experience as a paralegal, with at least 1-2 years in the UAE/GCC.
  • Awareness of cultural differences and varying legal/regulatory environments.

Key Responsibilities:

Corporate matters and contract management

  • Keeps track of and assist with renewals of registrations, licenses, leases.
  • Keeps track of signed contracts (NDAs, etc.).
  • Maintains database of legal contracts and vendor agreements.
  • Assists with identifying legal partners.
  • Keeps track of internal corporate registers.
  • Manages and maintains physical files.
  • Stamps documents as required.
  • Supports in reviewing engagement agreements, NDAs and other smaller corporate contracts.

Compliance and corporate governance

  • Supports in compliance with regulations as needed.
  • Supports the VP of Business Integrity with third party due diligence checks as needed.
  • Drafts and maintains a tracker for board and shareholder resolutions for various items, such as director changes, D&O insurance, capital calls, etc.
  • Manages and maintains the corporate register of members, organizational charts, certificates of good standing, etc.
  • Assists with various legal department projects and initiatives as may be required by the Group General Counsel.
  • Supports departments with corporate KYC requests.
  • Assists with raising Purchase Requisitions and keeps track of Purchase Orders in the ERP system.
  • Initiates and follows up on legal invoices and payments.

Legal research & Company formations

  • Identifies and researches relevant laws and legal articles applicable to the business to ensure internal relevance.
  • Conducts legal research as requested.
  • Assists with requests for legal translations, attestations and notarizations.
  • Assists with obtaining and monitoring corporate requirements for financing agreements.
  • Manages new company formations in the GCC (including management of PRO agencies, registered corporate agents, attestations, etc).
