Legal Counsel

About the Role:

We are seeking a highly skilled Legal Counsel to provide comprehensive legal support to the holding group and its subsidiaries. The ideal candidate will be experienced in drafting and reviewing commercial agreements, managing corporate legal matters, and ensuring full compliance with all applicable laws and regulations in Saudi Arabia.

Key Responsibilities:

• Draft and review commercial agreements, including shareholder agreements, MOUs, and service contracts.
• Provide expert legal advice to senior management on corporate, commercial, regulatory, and compliance matters.
• Support corporate governance frameworks and ensure alignment with legal and regulatory requirements.
• Conduct legal risk assessments and recommend proactive mitigation strategies.
• Manage disputes, arbitration cases, and coordinate with external legal counsel and government authorities when required.
• Monitor legal and regulatory changes in Saudi Arabia and advise on their business impact.
• Collaborate with internal departments (Finance, HR, Operations, Procurement, etc.) to ensure legally sound business decisions and operations.

Required Qualifications:

• Bachelor’s degree in Law or Sharia Law (mandatory).
• Master’s degree in Law (LL.M.) preferred.
• 7–10 years of proven experience in corporate and commercial law within a reputable organization, preferably a holding or group environment.
• Strong expertise in legal drafting and advisory work in both Arabic and English.
• Strong knowledge of Saudi laws, regulatory frameworks, and corporate compliance requirements.
• Excellent communication, negotiation, and stakeholder-management skills.
