Job Purpose:
To develop the Legal Affairs Department’s strategy and objectives, set out the operational plans and ensure effective utilization of the departments resources. To manage the Legal Affairs Department and support the various legal activities to protect the legal interests of AIC and its subsidiaries from all aspects through (i) drafting, reviewing, and negotiating contracts and agreements; (ii) conducting legal research and analysis; (iii) preparing the necessary documents and reports relating to all legal functions; (iv) managing (either directly or through external counsel) investment and contractual transactions, legal advisory matters and litigation.
Strategic Responsibilities:

Develops the strategy for the Legal Department in line with AIC strategies.

Review, prepare and negotiate contracts between AIC and third parties; common types of contracts including commercial, leasing and investment contracts, outsourcing agreements, IT agreements and operational documents.

Measures performance against financial and strategic KPIs for the Legal Department and provides guidance for achievement of targets.
Core Responsibilities:

To develop and update the legal department strategy, objectives, and KPIs and ensure that the employees are working towards achievement of these objectives.

To set out the legal department operational plans, polices and procedures and ensure appropriate measures are taken to correct insufficient operating results.

To monitor the overall performance of the department and ensure KPIs and initiatives are well developed, cascaded, communicated to the team members.

To ensure effective identification, allocation and utilization of the department’s human, financial, logistical and technological resources at all times.

To manage the development of the legal framework at AIC and its subsidries and ensure its compliance with the relevant AIC ‘s constitutive documents and relevant laws and regulations.

To provide legal advice and consultations to AIC’s stakeholders and functions in the aim of protecting its interests from all aspects.

To advise on the implementation of penal and administrative decisions and ensure that they are enforced in compliance with the regulations, policies, and procedures.

To manage AIC official representation before judiciary and governmental authorities in relation to subject matters that fall under the legal department’s responsibilities and observe all litigation cases, settlements and procedures in the aim of protecting AIC’s rights and interests.

To manage the process of drafting and reviewing contracts, agreements, and MOUs and ensure that they are reviewed by the appropriate stakeholders.

To prepare, update and resolve the department’s audit observations and risk register requirements.

To prepare and update all reports concerning the department that are required by AIC’s executive management, board or committees.

To oversee, contribute and lead AIC’s contractual commitments and negotiations, and to manage and observe the preparation of legal documentation required for all Investment transactions by deploying the necessary efforts to secure the adequate protection for AIC’s rights and entitlements.

To oversee and manage the work, performance and services of the external legal services providers and ensure adequate outcome of legal assignments, proper settlements of invoices and safekeeping of relevant documentation.

To ensure the initiation of legal actions regarding contractual breaches and other applicable matters in accordance with the relevant policies and procedures.

To manage the employees by evaluating their performance and providing feedback to them on an on-going basis, identifying development needs, and coaching them to ensure capability development.

To perform other related duties and tasks as directed and assigned by ED of Legal & Governance.
Job-Specific Skills:

Fluency in English and Arabic.

Qualification & Requirements:

Bachelor’s degree in law, preferably holding an LLM
-
10 to 13 years of experience especially in the Legal field.
