Legal Manager

About Khazna

Khazna launched in 2020 with a mission to improve the financial well-being of the underbanked, who have little access to formal financial services by providing access to convenient, effective and secure smartphone-based financial services.

Khazna has received the Central Bank of Egypt’s first prepaid card license and aims to become the go-to neobank for underbanked consumers across the Middle East. In the next phase of its journey, Khazna is looking to continue scaling up its operations in Egypt and to launch its operations in Saudi Arabia.



Key Responsibilities


1. Legal Operations & Control (Core Mandate)

  • Own and manage the intake, prioritization, and allocation of all legal work across the business
  • Act as the single point of control for legal requests, ensuring structured workflow and visibility
  • Define and enforce service levels (SLAs) and realistic timelines with business stakeholders
  • Ensure no contracts or legal documents progress to execution without appropriate legal review
  • Balance workload across the team, prevent bottlenecks, and maintain delivery efficiency
  • Drive improvements in legal processes, contract tracking, and internal workflows


2. Commercial Contracting & Business Support

  • Own the end-to-end contract lifecycle, including structuring, drafting, negotiation, execution, and post-signature management
  • Draft and negotiate a wide range of agreements, including:
  • Strategic partnerships
  • Vendor and technology agreements
  • Banking and payment integrations
  • Marketing and distribution arrangements
  • Ensure agreements reflect commercial intent, operational realities, and regulatory constraints
  • Act as the primary legal partner to commercial, product, finance, and operations teams


3. Product & Regulatory Alignment

  • Support legal structuring of Khazna’s core products (EWA, Salary Advance, Consumer Finance / BNPL)
  • Ensure alignment with applicable regulatory frameworks across Egypt (FRA, CBE), KSA (SAMA), and other markets
  • Work closely with compliance and product teams to ensure legal, regulatory, and operational consistency
  • Identify and clearly communicate legal risks with practical, business-oriented solutions


4. Transactions & Strategic Support (in collaboration with GC)

  • Support the General Counsel on:
  • Funding rounds and investor-related workstreams
  • Cross-border structuring and expansion into new markets
  • Complex transactions and strategic partnerships
  • Coordinate with external counsel where required, while maintaining internal ownership of deliverables


5. Corporate Governance & Legal Infrastructure

  • Oversee preparation and maintenance of:
  • Board and shareholder resolutions
  • Powers of attorney
  • Corporate records across group entities
  • Ensure proper documentation, filing, and accessibility of all legal materials
  • Maintain and continuously improve legal templates and governance processes


6. Team Leadership & Output Ownership

  • Own the quality, consistency, and timeliness of all legal output across the team
  • Allocate work across team members based on priority and complexity
  • Review and guide work from junior and mid-level team members
  • Ensure consistent drafting standards and negotiation approach



Skills & Qualifications

  • Law degree and admission to the Egyptian Bar Association
  • 6–9 years of experience in corporate/commercial law, preferably within fintech, banking, or regulated sectors
  • Strong experience in commercial contracting and business-facing legal roles
  • Exposure to regulatory environments and cross-border work is preferred
  • Excellent drafting and negotiation skills in Arabic and English
  • Strong commercial judgment and ability to distinguish material risk from noise
  • Ability to operate independently and manage multiple priorities in a fast-paced environment
  • Proven ability to manage stakeholders and push back when required
