Legal Manager - Infrastructure and Project Development


We are partnering with a leading investment holding platform with a growing portfolio across infrastructure and strategic assets. As part of their continued expansion, they are looking to appoint a Legal Manager to lead legal activities across the investment lifecycle.



Role Overview

You will act as the primary legal partner to the investment team, supporting transaction structuring, due diligence, execution, and ongoing portfolio governance across multiple jurisdictions.


The role operates at a holding company level, overseeing legal matters across portfolio companies and SPVs, while ensuring alignment with regulatory frameworks and internal governance standards.


Key Responsibilities

  • Investment Transactions & Structuring
  • Support end-to-end legal aspects of infrastructure investments, including deal structuring and execution
  • Draft, review, and negotiate key transaction documents (SPA, SHA, JV agreements)
  • Legal Due Diligence
  • Lead legal due diligence on potential investments
  • Identify, assess, and mitigate legal and regulatory risks
  • Translate findings into actionable inputs for investment decision-making


Infrastructure & Project Investments

  • Support RFP / bid processes for infrastructure projects
  • Review and negotiate: Concession agreements, Project finance documentation, EPC contracts, FIDIC-based contracts
  • Advise on consortium structures and joint bidding arrangements


Portfolio & SPV Governance

  • Oversee legal compliance across portfolio companies and SPVs
  • Ensure adherence to corporate governance and shareholder frameworks


Regulatory & Compliance

  • Ensure compliance with applicable regulatory frameworks across jurisdictions
  • Act as a key point of contact for legal and regulatory matters at the group level


Stakeholder Management

  • Partner closely with senior leadership, investment, and finance teams
  • Manage and coordinate with external law firms


Candidate Profile

  • Qualified lawyer with 5-8 years of PQE
  • Background in:
  • Top-tier law firm (M&A, project finance, infrastructure) and/or
  • In-house with an investment platform, infrastructure developer, or holding company
  • Strong experience in:
  • Infrastructure / PPP transactions
  • Project finance and concession frameworks
  • Cross-border deal execution
  • Commercially minded, with the ability to translate legal risk into business impact
  • Comfortable operating as a standalone, senior individual contributor
