We are seeking an experienced Legal Subject Matter Expert (SME) / Contract Attorney to support enterprise-level technology sourcing, contracting, and compliance engagements.
This role is suited for a legal professional who understands the intersection of law, technology, and procurement — and who thrives in structured, high-impact environments.
Position Summary
The Legal SME / Contract Attorney will serve as the senior legal advisor for IT sourcing and digital transformation programs.
You will ensure all contractual instruments — including MSAs, SLAs, and Statements of Work (SOWs) — meet technical, regulatory, and operational requirements.
This position demands excellent judgment, precision drafting skills, and a deep understanding of procurement law and compliance frameworks.
This is a senior, hands-on advisory role — ideal for attorneys who have worked closely with public sector clients or large enterprises on multi-million-dollar technology contracts.
Key Responsibilities
- Draft, review, and negotiate MSAs, SOWs, NDAs, and SLAs related to IT infrastructure, cybersecurity, and cloud modernization projects.
- Advise program management and technical teams on procurement strategy, regulatory compliance, and contractual risk mitigation.
- Support RFP and vendor evaluation processes, ensuring sourcing documentation aligns with applicable procurement and data protection laws.
- Translate technical and operational requirements into enforceable legal provisions.
- Collaborate with cross-functional stakeholders (program, technical, and finance) to ensure consistency and alignment across all legal deliverables.
- Develop and maintain contract management templates and compliance checklists to standardize best practices.
- Provide legal oversight during vendor onboarding, transition, and performance monitoring.
Mandatory Qualifications
(Candidates who do not meet these minimums will not be considered.)
- Juris Doctor (JD) from an accredited U.S. law school.
- Active Bar membership (in good standing) in any U.S. state.
- 8+ years of experience in IT contracting, government procurement, or technology law.
- Proven success supporting or advising state, local, or federal government contracting activities.
- Strong familiarity with public procurement frameworks (FAR, DFARS, or state/local equivalents).
- Demonstrated ability to draft, redline, and negotiate complex service agreements and technology contracts.
- Excellent written and verbal communication skills, with the ability to advise executives and non-legal professionals.
- U.S. citizen or permanent resident authorized to work in the United States.
Preferred Qualifications
- Experience working with government IT modernization or cloud infrastructure contracts.
- Familiarity with data privacy and cybersecurity law, including NIST, FedRAMP, ISO 27001, and SOC 2 requirements.
- Experience coordinating with technical program managers or cybersecurity leads in drafting SOWs.
- Advanced certifications or coursework in Government Contracts, Procurement Law, or Technology Transactions.
- Prior experience in an advisory or consulting capacity supporting public-sector clients.

Projected Total Compensation: $90.00 - $110.00 per hour
