Responsibilities

• Lead business due diligence on real-world assets (RWA), analyzing how assets are securitized and reviewing underlying documentation to ensure soundness and enforceability.
• Identify and verify all underlying assets within RWA token structures, ensuring accuracy and transparency in token composition.
• Assess the legal capacity of RWA issuers, confirming their authority to represent and warrant redemption obligations.
• Review token economics, including issuance mechanisms and protections against dilution, to safeguard current holders.
• Conduct comprehensive business and legal due diligence on issuers, reviewing incorporation documents and security agreements to ensure compliance and enforceability.
• Collaborate with cross-functional teams, including finance, compliance, and operations, to provide actionable insights for structuring RWA transactions.

Requirements

• A law degree in either Singapore, Hong Kong, Malaysia, UK or the US
• at least 1 year of experience in traditional financial printing documents, i.e. Listing due diligence in either NASDAQ, KOSPI, HKSE, NYSE.
• Proven ability to review and analyze complex financial documents, including prospectuses, security agreements, and collateral structures.
• Familiarity with structured finance, securitization, or tokenized real-world assets is highly desirable.
