This job provides the prospective candidate the opportunity to work with various teams throughout AIG including Underwriting (multiple lines of business), Comptrollers, Investments, Regulatory Reporting, Tax, and Litigation, as well as regulators.</p><p></p><p>
This is a dynamic and client-facing position for a self-starting, intellectually curious lawyer who is willing to dive in to a number of challenging projects while at the same time tending to ordinary course matters needed to support the day-to-day responsibilities. This position is primarily dedicated to providing insurance regulatory support for operations of AIG&rsquo;s Property Casualty business. Your Responsibilities:<br>

<ul><li>Support the agency&rsquo;s development programs by providing legal services to the agency&rsquo;s affordable housing development programs.</li></ul><br>
<ul><li>Perform closings of construction and permanent financings, dispositions of City-owned property, and affordable housing regulatory agreements.</li></ul><br>
<ul><li>Prepare and review complex legal documents related to real estate transactions and governmental approvals.</li></ul><br>
<ul><li>Analyze federal, state, and local statutes and regulations.</li></ul><br>
<ul><li>Handle other complex legal issues pertaining to the implementation of affordable housing programs.</li></ul><br>
<ul><li>Negotiate difficult and complex issues, transactions, and documents.</li></ul><br>
<ul><li>Work collaboratively with agency colleagues and partners.</li></ul><br>

The ABS practice primarily focuses on esoteric ABS, while the CLO practice encompasses both middle market/private credit and BSL. Essential Duties and Responsibilities</b></p><p>
The attorney will provide advice and guidance on a variety of structured finance transactions. Key responsibilities include:</p><ul><li>
Advising on ABS and CLO warehousing/144A new issues, including drafting engagement letters, term sheets, teasers, and managing legal transactions, as well as addressing ad-hoc regulatory projects and initiatives specific to these products.</li><li>
Collaborating with business teams and support functions on transaction structuring and new product development.</li><li>
Working with legal colleagues in New York, London, Hong Kong, and Paris to assist with or coordinate multi-jurisdictional, cross-border legal documentation and due diligence.</li><li>
Assessing and communicating legal risks associated with relevant business lines, and providing appropriate solutions to control and reduce such risks.</li><li>
Coordinating with the Head Office and other locations to promote transparency and consistency in our approach.</li><li>
Conducting legal analysis on new products and contributing to the New Product Committee as necessary.</li><li>
