The
Senior Governance Officer
will be responsible for supporting the development, implementation, and monitoring of the organization’s corporate governance framework. This role ensures alignment with applicable laws, regulations, and international best practices, while supporting the Board of Directors and senior leadership in maintaining robust governance structures across the company and its subsidiaries.
Key Responsibilities:
Governance Framework & Policies

Develop, review, and update the company’s governance framework, charters, and policies in alignment with UAE laws (e.g., ADGM, SCA, Commercial Companies Law) and international corporate governance standards.

Monitor the implementation of governance policies and ensure adherence across departments and entities.

Coordinate updates to the Delegation of Authority (DoA) and ensure effective communication and training on governance processes.
Board and Committee Support

Facilitate Board of Directors and Board Committee meetings including agenda setting, minute taking, resolutions drafting, and document management.

Ensure timely and accurate communication of Board decisions and follow-up on implementation status with executive management.

Maintain statutory records, Board charters, terms of reference, and director independence assessments.
Regulatory Compliance & Reporting

Liaise with regulatory authorities (e.g., SCA, DMT, ADGM, RERA) and ensure compliance with governance-related obligations.

Support the timely preparation and submission of reports to regulators and stakeholders.

Coordinate the company’s annual general meeting (AGM) and shareholder communications.
Risk & Internal Control Integration

Work closely with Risk Management, Internal Audit, and Compliance functions to ensure governance practices are effectively integrated into enterprise risk and control frameworks.

Support internal assessments and external audits related to governance, ethics, and transparency.
Training & Awareness

Promote a culture of strong corporate governance through training sessions, internal communications, and leadership workshops.

Provide ongoing advisory support to executives and department heads on governance matters and ethical decision-making.
Subsidiary & JV Oversight

Assist in establishing governance structures for subsidiaries and joint ventures.

Ensure consistency of governance practices across the group and track compliance status.
Qualifications & Experience:

Bachelor’s Degree in Law, Business Administration, Public Policy, or related field (Master’s degree preferred).

Professional certifications such as ICSA, CGI, CCEP, or equivalent are highly desirable.

Minimum 3–6 years of progressive experience in corporate governance, preferably in real estate, investment, or regulated industries.

Strong understanding of UAE regulatory landscape including the Securities and Commodities Authority (SCA), ADGM, DMT, and Companies Law.

Experience supporting Boards and executive management in a corporate governance role.
