We are seeking an experienced Senior Legal Counsel/Corporate Lawyer to join a well-established group in Muscat, Oman, with significant operations and subsidiaries in marine, aviation, asset-financing and industrial investment sectors. This is a full-time, on-site position reporting directly to the Head of Legal.

As Lawyer, you will play a pivotal role in supporting complex cross-border transactions, corporate governance and day-to-day legal risk management across the group's activities in Oman and internationally.

Key Responsibilities:

Transactional Support


  • Lead or support the structuring, drafting, review and negotiation of high-value transaction documents (financing agreements, charter parties, SPAs, shareholder agreements, joint ventures, etc.).
  • Coordinate external counsel (Omani and international firms), negotiate engagement terms and manage deliverables.
  • Identify legal, regulatory and commercial risks in proposed transactions and recommend practical mitigation measures.

Corporate & Governance


  • Act as Board Secretary: organise Board and shareholder meetings, draft minutes, resolutions and maintain statutory records.
  • Incorporate and maintain project-specific SPVs (SAOC/LLC) in Oman and support overseas subsidiaries.
  • Draft and update Board regulations, committee charters and internal policies.
  • Serve as a voting member of the Risk Committee.

General Legal & Compliance


  • Provide clear, commercial and timely legal advice to all business units on contracts, operations, regulatory changes and disputes.
  • Monitor legislative and case-law developments in Oman and key overseas jurisdictions; prepare updates for management.
  • Review and approve legal invoices; ensure cost-effective use of external counsel.
  • Support compliance, audit and due-diligence processes across the group.

Requirements:


  • LL.B / Bachelor of Laws from a recognised university; additional Master's (MBA, LLM or M.Sc.) is highly desirable.
  • 6-12 years of post-qualification corporate/commercial legal experience gained in a reputable law firm and/or in-house with a shipping, aviation, leasing or asset-finance group.
  • Strong technical skills in legal drafting, contract negotiation, corporate governance and transaction management.
  • Proven experience incorporating and maintaining companies under Omani Commercial Companies Law; familiarity with SPVs is essential.
  • Working knowledge of financing documentation (LMA/Islamic), marine/aviation contracts and cross-border structures.
  • Excellent legal research and advisory skills with impeccable attention to detail.
  • Professional working proficiency in English (mandatory); Arabic is advantageous; French or Spanish is a plus.
  • Ability to work autonomously, manage multiple priorities and often urgent tasks, and deliver commercially pragmatic solutions.
