Senior Legal Counsel

Job Summary

Develop and maintain robust internal policies to mitigate risk within the organization and ensures it operates in full alignment with KSA’s regulatory framework by overseeing the end-to-end drafting and review of all legal files.

Key Accountabilities

• Ensure full compliance of all KSA entities with local laws, regulations, and corporate governance frameworks.

• Lead the drafting, review, and negotiation of key commercial, supply, EPC, and service contracts, ensuring alignment with Group standards and strategic objectives.

• Provide strategic legal counsel to senior management on corporate, commercial, regulatory, and labor law matters impacting business operations in KSA.

• Oversee and manage all litigation, arbitration, and dispute resolution matters, including engagement and supervision of external counsel.

• Monitor new legislation and regulatory changes in KSA, assessing their implications and advising management on necessary business adjustments.

• Support corporate structuring activities including company formation, restructuring initiatives, mergers, acquisitions, and other corporate transactions within KSA.

• Identify, assess, and manage legal risks across projects, tenders, and new business ventures to safeguard company interests.

• Develop, maintain, and implement legal policies, templates, and procedures consistent with Group Legal requirements.

• Deliver legal awareness and training sessions to business and functional teams to enhance compliance and risk mitigation.

• Serve as the primary liaison between KSA management and Group Legal for governance, compliance, and corporate oversight matters.

• Lead, mentor, and develop the local legal team to ensure high‑quality, timely, and effective legal support across all business functions.

Qualifications

• Bachelor’s degree in Law.
• 12–15 years of legal experience within large corporations or multinational environments.
• Strong expertise in KSA commercial law, corporate governance, regulatory compliance, and labor law .
• Proven experience in drafting, reviewing, and negotiating commercial, EPC, supply, and service contracts.
• Demonstrated background in managing litigation, arbitration, and dispute resolution cases.
• Solid understanding of company formation, restructuring, mergers & acquisitions, and corporate transactions in KSA.
• Strong ability to assess legal risks and provide strategic guidance to senior management.
• Experience working with government entities, regulatory bodies, and external legal counsel.
• Strong analytical, problem‑solving, and decision‑making skills.
• Ability to lead, mentor, and develop legal teams.
• Strong stakeholder management and cross-functional collaboration skills.
