The Role
Senior M&A Lawyer (US/NY-qualified) Role Overview • EnergyX seeks a Senior M&A Lawyer (US/NY-qualified) to support cross-border M&A transactions, capital raising, and corporate structuring. • The role involves working closely with top management, finance teams, and external counsel on international transactions aligned with U.S. legal standards. • Coordination with local counsel across jurisdictions, including Qatar, will be required. Key Responsibilities Mergers & Acquisitions: • Support end-to-end M&A transactions, including mergers, acquisitions, and strategic investments. • Draft and negotiate key transaction documents (SEAs, SSAs, SPAs, Shareholders’ Agreements, investment documents, and term sheets). • Manage multi-jurisdictional legal due diligence and transaction structuring. Strategic & Corporate Advisory: • Advise on corporate governance and shareholder matters. • Support group structuring and international entity management. • Assist with strategic commercial agreements and capital markets preparation (if applicable).
Requirements
Education Qualification: • Juris Doctor (JD) from an accredited U.S. law school. • Active membership in at least one U.S. state bar. Experience: • 12-15+ years of experience in M&A and corporate transactions. • Experience in cross-border transactions. Preferred Qualifications: • Admission to the New York State Bar. • Qatari nationals preferred. Key Skills: • Strong M&A drafting (U.S./New York law). • Commercial and strategic mindset. • Ability to manage multiple transactions in a fast-paced environment. • Excellent communication and stakeholder management skills.
