Job Title: Senior Manager – Corporate Affairs

Job Summary:

Yousuf Adil, Chartered Accountants is seeking a competent and experienced Senior Manager – Corporate Affairs to lead and manage corporate secretarial and legal compliance functions. The role requires hands-on expertise in statutory requirements and corporate advisory under the Companies Act, 2017 and other related Rules and Regulations and other applicable laws related to the Listed/ Unlisted/Private companies/ Liaison and Branch offices and making representations before the Securities and Exchange Commission of Pakistan (SECP), Board of Investment (BOI) and Stock Exchange (PSX).

The incumbent will be responsible for managing end-to-end corporate matters along with liaising with regulatory authorities and ensuring adherence to corporate governance best practices.

Key Responsibilities:

  • Manage and oversee statutory and regulatory compliances, handling end-to-end corporate secretarial matters for listed and unlisted entities, including regulatory filings and documentation.
  • Liaise and represent clients before regulatory authorities including SECP, PSX, and other relevant bodies.
  • Advise clients on corporate governance, compliance frameworks, and regulatory requirements.
  • Execute and manage complex corporate transactions and restructuring assignments, including but not limited to:

-Incorporation of companies

-Merger/Amalgamation/Reconstruction of companies

-Winding up and De-registration of companies

-Establishment of Branch and Liaison Offices of Foreign entities

-Closure and De-registration of Branch and Liaison Offices of Foreign entities

-Various modes of Winding up of companies

-Issuance of Right Shares

-De-listing of shares of companies

-Conversion of status of companies

-Change of management of companies

-Any other corporate related assignment.

  • Prepare and review legal documentation, resolutions, and regulatory submissions.
  • Stay updated with changes in corporate laws and ensure timely implementation within client engagements.

Requirements:

  • Strong knowledge and understanding of the Companies Act, 2017, and other related Rules and Regulations and other regulatory frameworks.
  • Hands-on experience in corporate secretarial functions, particularly for listed companies.
  • Proven expertise in handling regulatory filings, corporate restructuring, and corporate advisory.
  • Experience in representing matters before SECP, BOI, and PSX.
  • Excellent drafting, analytical, and communication skills.
  • Ability to manage multiple assignments and work independently in a fast-paced environment.

Education & Experience:

  • Education: ACMA / ACCA / LLB / ACS or equivalent qualification.
  • Experience: 7+ years of relevant experience in corporate affairs, corporate secretarial, or legal roles, preferably within professional services or consulting firms.

Job Type: Full-time

Pay: From Rs200,000.00 per month
