Senior Officer - Board Affairs & Corporate Governance

Job Purpose:

The job role reports directly to the Head of Legal, Corporate Governance & Board Affairs and provides comprehensive administrative and coordination support to the Legal, Corporate Governance and Board Affairs function. The role will focus on assisting with the organization and documentation of Board and Board Committee meetings, supporting governance processes and ensuring that all secretarial, logistical and compliance-related tasks are carried out efficiently and accurately.


Key Responsibilities:


Board Secretary Administration & Support

  • Assist in organizing and supporting Board and Committee meetings, including agenda preparation, meeting minutes, and follow-ups on decisions and action points.
  • Maintain registers for director attendance, interests, Board resolutions, voting results, and governance documents.
  • Help prepare annual agendas, disclose records, and draft content for the annual report concerning Board operations and governance.
  • Coordinate general assembly/shareholders meetings, filings, and communications with internal and external stakeholders.
  • Monitor legislative and regulatory changes affecting the Board and assist in policy updates.
  • Support Board member induction, remuneration processes, performance assessments, and training programs.
  • Provide administrative support to the Line Manager in governance-related activities, budget preparation, and communication with regulators.


Corporate Governance

  • Ensure compliance with corporate governance requirements and assist in integrating governance practices into Board administration.
  • Review contracts and agreements related to corporate governance.
  • Prepare governance reports and updates on Board activities, compliance, and regulatory changes.


Key Skills, Qualifications & Experience:

  • Bachelors degree from an accredited University.
  • Degree in Law is desirable,
  • A Certificate from Hawkamah/DFM or equivalents are desirable.
  • 3+ years in a similar role, with a UAE Based organization or Bank. Previous experience as a paralegal is highly desirable.
  • Must be experience with Board Administration, Corporate Governance Regulations under CBUAE, VARA, SCA etc.
