The CS acts as a vital link between the board of directors, management, shareholders, government, and other regulatory authorities.Key Roles and Responsibilities1. Statutory Compliance&middot; Ensure compliance with the Companies Act, Securities Laws, and other applicable regulations.&middot; Prepare and file necessary Statutory returns and documents (e.g., annual returns, financial statements, forms) with the Registrar of Companies (ROC).&middot; Maintain and update statutory registers such as register of members, directors, and charges.&middot; Application for the Trade License, FSSAI License, PPL License, Police License, Shop Establishment License, Professional Tax, LEI.2. Board and General Meetings&middot; Organize and coordinate Board Meetings, Committee Meetings, and General Meetings (AGM/EGM).&middot; Prepare and circulate notices, agendas, and minutes of meetings.&middot; Ensure proper documentation and record-keeping of board decisions.&middot; Guide the Chairperson and Directors on meeting procedures and legal requirements.3. Corporate Governance and Legal Advisory&middot; Advise the board on corporate governance frameworks and ethical standards.&middot; Ensure compliance with corporate policies, codes of conduct, and risk management frameworks.&middot; Provide legal advice on contracts, joint ventures, mergers &amp; acquisitions, and corporate restructuring.&middot; Liaise with regulatory bodies like SEBI, Stock Exchanges, RBI, and MCA.4.
