Job Description

Contract Drafting, Negotiation & Vetting

  • Draft, negotiate, and finalize EPC, O&M, BoP, module/WTG supply agreements, LTSA, consultancy contracts, and other project-level documentation.
  • Conduct comprehensive contract vetting with emphasis on risk allocation, LD mechanisms, performance guarantees, warranties, and indemnities.
  • Prepare and negotiate agreements for contractors, vendors, service providers, consultants, and technology partners.
  • Review RFQ/RFP/tender documents for contractual, commercial, and compliance risks.Support bid finalization and negotiation of terms post–bid award.
  • Ensure alignment of contract terms with project finance, insurance requirements, and technical deliverables.
  • Ensure contract structures comply with renewable energy laws, electricity regulations, grid codes, open access rules, environmental clearances, and land-related statutory requirements.
  • Advise internal stakeholders on regulatory constraints affecting contract negotiations or execution.

Support M&A Transactions

  • Review and negotiate transaction documentation including SHAs, SPAs, JV and other investment agreement
  • Assist the relevat deal teams in completing conditions precedents and pre-closing actions in order to achieve closing of the deal. ---

Stakeholder Coordination

  • Work closely with project development, procurement, technical, finance, and compliance teams throughout contracting stages.
  • Coordinate with external legal counsel, lenders’ counsel, and consultants when required.

Qualifications

  • Law degree (LLB or equivalent); Master’s in corporate, infrastructure, or energy law is a plus.
  • 3–5 years of experience focused on contract negotiation and drafting within renewable energy sector.
  • Strong command of EPC, O&M, BoP, supply agreements, and bid-stage contractual requirements.
  • Exposure with handling M&A transactions will be preferred.

Core Skills

  • Expertise in contract drafting, negotiation, and risk allocation frameworks.
  • Strong understanding of renewable energy project development and execution lifecycle.
  • Problem-solving and ability to interpret technical and commercial inputs.
  • Ability to work under tight timelines and manage multiple contract workflows.
  • Excellent written, verbal, and stakeholder-management skill
