Job Purpose:
Lead - Mergers & Acquisition drives strategic growth by identifying, evaluating, and executing high-value M&A opportunities that align with organizational goals. Key responsibilities include conducting thorough market research, performing financial analyses, managing due diligence processes, and negotiating contracts. Lead ensures compliance with regulatory requirements and integrates acquired entities effectively to maximize synergies and operational efficiencies. By guiding strategic investments and partnerships, this role contributes to enhancing competitive positioning and expanding market reach.
Responsibilities
Strategic Roles & Responsibilities :-

Engage in pre-feasibility analysis of a potential site. This shall include complete country analysis, various risk analysis, cargo potential, site visit etc.
-
Assist in the Due Diligence process to evaluate the opportunity by analyzing – traffic assessment, commercial agreements, concession agreements, operational analysis, negotiating new agreements etc. This shall also involve short term deputation on the foreign site to complete the assessment.
Operational Responsibilities :-

Engagement with consultants in identifying the business potential of the opportunity. Shall include Hinterland mapping & assessment for various commodities/ cargo for formulation of business plan.

Tracking & exploring the emerging new port development opportunities in identified geographies outside India.

Assessment of the Tenders / Bidding Documents of Project.

Preparation and Submissions of Tenders / Bids / Expression of Interest.

Financial Analysis and Financial Modeling for the proposed project / opportunities.

Risk Analysis of a project.
-
Research for Market / Demand Potential for Identified Opportunities.
People Management :-

Collaborate with the internal and external stakeholder for completion of due-diligence process. Working with fungible teams on assignments / need basis.
Key Technical Deliverables :-

Ownership of financial model Ownership in fulfilment of all activities required for
tendering / bidding

Ownership of diligence as per timeline including satisfactory closure of all counter-party query list

Review and Analysis of key documents i.e. Concession Agreements, SPA , SSA.

Participate and make supporting notes for counterparty / regulatory authority discussion.

Making notes and update reports on transaction

Support contract drafting and cognizance of all important legal clauses including key

commercial T&C

Organize and support all documentation required for transactions such as valuation.

One point contact for all CP closing action item

Coordinate with project and operation team to design PMI plan and timeline

Active participation and facilitation in all PMI related activities

Qualifications
Educational Qualifications :-
Chartered Accountant / MBA – Finance from a Premier Institute.
Relevant Experience :-
-
10 to 15 Years of Experience in M&A / Investment Banking / Corporate Finance.

Experience of Managing Deals / Transactions in Ports , Logistics and Infrastructure will be a plus. .
