Job Description – Company Secretary

Location: New Delhi
Position: Company Secretary
Experience: Minimum 3 years (Publicly Listed Company experience mandatory)
Qualification: Qualified Company Secretary (Member of ICSI)

Role Overview

We are looking for a qualified and experienced Company Secretary to manage all secretarial, legal, and compliancefunctions for a publicly listed company. The candidate should have solid knowledge of Companies Act, SEBI (LODR), RBI, SARFAESI, NCLT, and IBBI regulations, with exposure to stressed assets, bank auctions, and asset reconstruction.

Key Responsibilities

  • Conduct and manage Board, Committee & Shareholder meetings, prepare notices and minutes.
  • Ensure compliance with Companies Act, SEBI, RBI, and Stock Exchange regulations.
  • Handle ROC filings, corporate governance, and disclosure requirements.
  • Liaise with RBI, SEBI, MCA, NCLT, IBBI, and ARCs for compliance and legal matters.
  • Manage bank auctions, SARFAESI cases, and coordinate on stressed asset recovery.
  • Review financial statements and assist in annual filings and regulatory reporting.
  • Advise management on corporate governance and compliance frameworks.

Requirements

  • Qualified CS (ICSI) with 3+ years’ experience in a publicly listed company.
  • Strong understanding of corporate laws, SEBI & RBI compliance, and financial analysis.
  • Exposure to NBFC/Bank/Financial Institution or ARC preferred.
  • Excellent communication, drafting, and stakeholder management skills.

Job Type: Full-time

Pay: ₹50,000.00 - ₹75,000.00 per month
