Position: Company Secretary
Location: Bangalore
Reports To: Founders
About the Role
The Company Secretary will be responsible for ensuring compliance with statutory and regulatory requirements, maintaining governance standards, and supporting the Board of Directors in decision-making processes. The role involves handling corporate laws, company secretarial matters, and ensuring the company operates within the legal and regulatory framework.
Key Responsibilities
- Statutory Compliance & Governance
- Ensure compliance with the Companies Act, SEBI regulations, FEMA, labour laws, and other applicable legal requirements.
- Maintain statutory registers, records, and filings (ROC, MCA, etc.).
- Draft and file resolutions, notices, annual returns, and other statutory documents.
- Board & Shareholder Management
- Organize, prepare agendas, and draft minutes for Board meetings, committee meetings
- Ensure timely communication of decisions and resolutions.
- Act as the point of contact between Board, management, and regulators.
- Corporate Governance
- Advise the Board on best governance practices, ethics, and compliance.
- Safeguard shareholder interests and manage investor-related documentation.
- Legal & Secretarial Advisory
- Provide legal and regulatory advice on contracts, MOUs, and agreements.
- Assist in mergers, acquisitions, fundraising, and restructuring processes.
- Handle matters related to shareholding, ESOPs, and capital structuring.
- Liaison & Coordination
- Coordinate with auditors, legal advisors, tax consultants, and regulatory authorities.
- Act as a bridge between management and external stakeholders.
Required Skills & Qualifications
- Qualified Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI).
- Strong knowledge of Company Law, Corporate Governance, SEBI, FEMA, and allied laws.
- Excellent drafting, communication, and presentation skills.
- High attention to detail, confidentiality, and integrity.
- Ability to work with senior management and handle sensitive matters.
Experience
- 2–5 years of experience for a mid-level role

Job Type: Full-time
Pay: ₹50,000.00 - ₹65,000.00 per month
Work Location: In person
