Responsibilities:
1. Preparation of agenda, notices, minutes of meetings as per the Companies Act, 2013
2. Convening and holding, board, committee and Annual General meetings (AGM)/meetings
3. Familiarity with FEMA and RBI compliances.
4. Preparing annual reports, drafting corporate governance policies etc
5. Performs routine legal work following departmental templates.
6. Vendor management agreements & vendor management experience, POA , MOU ,Affidavits,NDA
,Service Agreements, Royalty Agreements and other Agreements as per requirement .
7. Assesses and reviews a variety of agreements like bank guarantees, supplier/dealer agreements, NDAs, AMCs, leave and license.
8. Good working knowledge and experience in handling commercial property/ leasing related matters Commercial negotiation knowledge.
9. Experience in adherence to and advising on statutory compliances.
KPIs:
- Holding of Board Meeting and AGM and book keeping.
- Maintaining Books and Registers under Companies Act 2013
- Filing of statutory Forms under Companies Act 2013
- Knowledge about FEMA rules and All related RBI compliances.
- Carrying out administrative and other secretarial duties as per Company requirements. Education and Experience:
- Must be Qualified CS
- LLB (Preferable)
