CORPORATE LEGAL ADVISOR

India

Strong drafting, negotiation, and analytical skills  Cross-functional collaboration with legal, technical, procurement, and operations teams  Ability to manage external legal advisors across countries  High integrity, business acumen, and decision-making capability  Indian corporate and manufacturing laws  International contract law and dispute resolution  Export-import documentation and compliance  Environmental and sustainability laws Responsibilities:  Advise senior management on legal risks and regulatory issues in strategic decisions and day to-day operations.  Interpret and apply laws affecting manufacturing, EPC, energy trading, and project development in India and abroad.  Draft, review, and negotiate a wide range of domestic and cross-border contracts including: o EPC contracts, O&M agreements, vendor/supplier contracts o Power Purchase Agreements (PPAs) and net metering contracts o International supply and procurement contracts o Technology licensing and distribution agreements o MoUs, NDAs, joint ventures, and investment agreements  Ensure contracts are legally compliant, minimize exposure to liabilities, and safeguard company interests in multiple jurisdictions.  Ensure compliance with: o Indian regulations: Companies Act, Factory Act, Labour Laws, Electricity Act, SECI/MNRE policies, environmental laws. o International standards: Contract laws, trade compliance, export-import regulations, anti-bribery laws.  Liaise with international consultants/legal advisors for compliance across jurisdictions.  Advise on legal aspects of international business operations including: o Import/export of solar modules, raw materials, and machinery o Foreign collaborations and licensing agreements o Cross-border dispute resolution and arbitration o Legal due diligence for overseas partners or transactions  Handle international commercial arbitration, if required  Manage and monitor all litigation and legal notices (civil, labour, consumer, tax).  Coordinate with external lawyers for both domestic and international legal matters.  Handle legal strategy for dispute resolution (court cases, arbitration, and mediation).  Vetting and verification of land acquisition/lease documentation for solar project sites.  Ensure legal clearances and approvals are in place for land used in manufacturing and solar plants.  Handle registration and protection of trademarks, copyrights, patents, and designs.  Manage technology licensing agreements with foreign or domestic partners.  Implement legal compliance frameworks, policies, and SOPs.  Conduct training sessions on compliance, ethics, anti-corruption, and contract management.

Pay: ₹1,000,000.00 - ₹1,200,000.00 per year
