Job Purpose

The Company Secretary will be responsible for ensuring that the company complies with statutory, legal, and regulatory requirements. The role also supports governance practices, board & shareholder meetings, and acts as a liaison between the company and regulatory/ statutory bodies.

Key Responsibilities

  • Maintain, update, and manage statutory registers, records & books as required under The Companies Act, 2013, and other applicable laws.
  • Prepare, organize, and coordinate Board meetings, Committee meetings, General Meetings (AGM / EGM): prepare agendas, notices, minutes, resolutions, follow up on action items.
  • Ensure timely filing of statutory compliance documents, returns, e-forms with Registrar of Companies (ROC), Ministry of Corporate Affairs (MCA), SEBI (if applicable), etc.
  • Monitor & stay updated with changes in corporate laws, governance guidelines, and other regulatory requirements; advise senior management accordingly.
  • Assist in legal drafting/review of company documents (contracts, agreements, resolutions, etc.)
  • Support compliance audits and secretarial audits.
  • Liaise with auditors, regulators, external counsels, and other stakeholders.
  • Handle share transfers, issue of share certificates, maintaining share registry if required.
  • Assist in other compliance functions such as ESOP administration, if applicable.

Requirements

  • Qualified Company Secretary (ACS / Associate Member ICSI)
  • ~2 years of experience in company secretarial and legal compliance role (post qualification)
  • Strong knowledge of Company Law (India), The Companies Act 2013, SEBI regulations (if listed), ROC / MCA compliance procedures
  • Experience with statutory filings, board / committee meetings & minute-taking
  • Good drafting skills – resolutions, agreements, notices etc.
  • Excellent organizational skills, attention to detail, ability to handle multiple tasks and meet deadlines
  • Strong communication skills (verbal & written)
  • Proficiency in MS Office (Word, Excel, PowerPoint), and comfort with e-filing portals of ROC / MCA etc.
