Key Responsibilities:-
Corporate & Statutory Compliance
- Ensure full compliance under the Companies Act, 2013, including preparation and filing of annual returns, resolutions, and statutory registers.
- Handle company incorporations, LLP formations, amendments, and closures for clients.
- Prepare and file ROC forms (MGT-7, AOC-4, DIR-12, PAS-3, etc.) on the MCA portal.
- Manage compliance under allied laws such as FEMA, LLP Act, Shops & Establishment, and other startup registrations.
- Liaise with MCA, ROC, and other government departments for client and company matters.
Board & Governance Management
- Schedule and conduct Board Meetings, AGMs, and EGMs, and maintain statutory minutes and registers.
- Draft notices, agendas, resolutions, and minutes for meetings.
- Advise management and clients on governance practices, director responsibilities, and compliance timelines.
Client Compliance Advisory
- Guide startups and businesses on entity selection, licensing, and statutory registrations (GST, MSME, PAN, TAN, IEC, PF/ESI, etc.).
- Monitor client compliance calendars to ensure timely filings and renewals.
- Support the taxation team in GST, Income Tax, and ROC coordination for corporate clients.
- Assist in drafting legal documents, shareholder agreements, and internal compliance policies.
Internal Compliance Oversight
- Maintain GIB’s own corporate secretarial records and annual filings.
- Coordinate with auditors, consultants, and banks for company-level compliance.
- Ensure policy documentation, digital record keeping, and compliance dashboards are updated.
Required Skills & Qualifications
- Qualified Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI).
- 0–3 years of relevant experience (freshers with strong knowledge may apply).
- Strong command over Companies Act, 2013, Secretarial Standards (SS-1 & SS-2), and ROC procedures.
- Proficiency with MCA portal, GST portal, and compliance management tools (Zoho / Excel / G-Suite).
- Excellent drafting, analytical, and communication skills.
- High attention to detail and ability to manage multiple client accounts.
