Company Secretary

Key ResponsibilitiesLegal and Regulatory Compliance: A company secretary that ensures the company adheres to all applicable laws, regulations, and corporate governance standards, including company law, securities regulations, and statutory obligations. They liaise with regulatory authorities, maintain statutory registers, and handle filings such as annual returns and reports.
Board and Committee Support: They prepare agendas, circulate board papers, record minutes, and follow up on actionable decisions. They advise the board on legal and governance matters and ensure that board processes comply with regulatory requirements.
Corporate Governance: Company secretaries that implement best practices in transparency, accountability, and ethical standards. They provide guidance to directors and senior management to uphold corporate governance principles.
Administrative Duties: They manage office operations, personnel administration, and corporate records. This includes maintaining statutory books, handling correspondence, collating information, and supporting internal departments.
Stakeholder Communication: They facilitate communication between the board, shareholders, and other stakeholders, including handling shareholder meetings, dividends, mergers, and share capital changes.
Advisory Role: Company secretaries who provide legal, financial, and strategic advice during and outside meetings, ensuring policies and procedures are up to date with current legislation.
