Company Secretary

Key Responsibilities:

Corporate Governance & Compliance

Ensure compliance with the Companies Act, 2013, SEBI regulations, and other relevant statutory laws.

Advise the Board on governance best practices, ethical standards, and regulatory matters.

Maintain statutory registers (directors, shareholders, secretaries) and other records required by law.

Oversee the timely filing of returns, forms, and documents with regulatory bodies, including the Ministry of Corporate Affairs (MCA).

Board & Committee Meetings Management

Plan, organize, and coordinate Board meetings, general meetings, and committee meetings.

Prepare meeting agendas and supporting documents, ensuring timely distribution to Board members.

Draft minutes of meetings, resolutions, and ensure accurate recording and execution of Board decisions.

Manage shareholder communications, ensuring transparency and clarity.

Regulatory Oversight & Risk Management

Liaise with regulatory authorities, auditors, and external stakeholders on compliance matters.

Monitor changes in laws and regulations relevant to the company’s operations and ensure compliance.

Ensure statutory reporting and regulatory obligations are met, including managing audits and implementing risk management protocols.

Policy Development & Documentation

Develop, maintain, and update internal policies in line with corporate governance standards and regulatory requirements.

Oversee documentation and safe custody of critical corporate records, agreements, and contracts.

Regularly review and update governance policies to reflect changes in legislation or business operations.

Stakeholder Communication

Act as the primary liaison between the Board, senior management, and shareholders on governance and compliance matters.

Communicate company policies, governance updates, and regulatory changes to relevant stakeholders.

Build and maintain relationships with regulators, auditors, and legal advisors to ensure smooth governance operations.

Eligibility:

Freshers and candidates with up to 5 years of experience may apply.

Job Type: Full-time

Pay: ₹35,000.99 - ₹100,000.53 per month
