Job Summary

The Company Secretary is responsible for ensuring the company complies with statutory and regulatory requirements and maintains high standards of corporate governance. The role involves advising the Board of Directors, managing board processes, and overseeing legal and compliance matters.

Key Responsibilities1. Corporate Governance

  • Ensure compliance with corporate laws, regulations, and statutory requirements.
  • Advise the Board on governance best practices.
  • Develop and implement governance frameworks and policies.
  • Maintain corporate records and statutory registers.

2. Board & Committee Management

  • Organize board and committee meetings.
  • Prepare agendas, board papers, and meeting minutes.
  • Ensure timely circulation of meeting documents.
  • Follow up on action items from meetings.

3. Regulatory Compliance

  • File annual returns and other statutory documents with regulatory authorities.
  • Monitor changes in relevant legislation and advise management accordingly.
  • Liaise with regulatory bodies and external advisors.
  • Ensure compliance with company law, tax law, and other applicable regulations.

4. Risk & Compliance Management

  • Identify compliance risks and recommend mitigation strategies.
  • Develop internal compliance systems and controls.
  • Conduct compliance audits and reporting.

5. Shareholder Relations

  • Manage shareholder communications.
  • Organize Annual General Meetings (AGMs) and Extraordinary General Meetings (EGMs).
  • Handle dividend distribution and share-related matters.

6. Legal & Advisory Support

  • Provide legal guidance to management.
  • Draft and review contracts, policies, and resolutions.
  • Support mergers, acquisitions, and corporate restructuring (if applicable).

Qualifications & Requirements

  • Bachelor’s degree in Law, Finance, Business Administration, or related field.
  • Professional certification in Company Secretary ship (e.g., ICSI / CGISA / relevant governing body).
  • 3–8+ years of relevant experience (depending on role level).
  • Strong knowledge of corporate laws and regulatory frameworks.
  • Excellent organizational and communication skills.
  • High level of integrity and confidentiality.

Job Types: Full-time, Permanent

Pay: ₹45,000.00 - ₹55,000.00 per month
