Job Description:
We are seeking a highly qualified and experienced Company Secretary (CS) with at least 5 years of expertise in corporate secretarial matters. The ideal candidate will bring strong knowledge of compliances for listed companies, RBI, Gift City, SEBI, and the Companies Act, particularly within the financial services or real estate sectors.
The candidate should have proven experience in:
- AIF Category II compliance
- NCD management
- Corporate governance and regulatory filings (SEBI & MCA)
- Drafting transaction documents
- Managing financial covenants
The role requires excellent project management, analytical skills, and the ability to liaise effectively with regulatory bodies, trustees, and investors. Integrity, accountability, attention to detail, and adaptability in a fast-paced regulatory environment are essential.
Key Responsibilities:
- Manage end-to-end compliances for a listed company, including post-IPO compliances and regular filings/reporting.
- Ensure compliance with SEBI (LODR) regulations: mandatory disclosures, governance reporting, investor relations, and advising on corporate governance practices.
- Manage compliance with the Companies Act 2013, including annual returns, statutory reports, registers, and Board/Committee coordination. Oversee debenture issues, capital raising, and restructuring transactions.
- File forms and e-documents with MCA, SEBI, and other authorities. Ensure timely filing of returns/resolutions for corporate actions, dividends, and share capital changes.
- Address investor grievances, provide corporate/financial information, and ensure investor communication as per SEBI guidelines.
- Ensure compliance with Alternative Investment Funds (AIF) regulations, including reporting, taxation, and financial compliance.
- Conduct internal secretarial audits and due diligence for fundraising, mergers, and acquisitions.
Qualifications & Skills:
- Qualified Company Secretary (CS) with minimum 5 years of relevant experience.
- Strong knowledge of SEBI, RBI, Gift City, Companies Act, and corporate governance frameworks.
- Proven experience in AIF Category II compliance and NCD.
- Excellent drafting, communication, and project management skills.
- Ability to work independently, manage multiple priorities, and collaborate with stakeholders.

Pay: Up to ₹1,800,000.00 per year
