Job Title: Company Secretary-cum-Legal

Location: Mumbai
Experience: 5–7 Years
Qualification: ACS | LLB Preferred

Role Summary

The Company Secretary-cum-Legal will be responsible for ensuring corporate secretarial compliance under the Companies Act and allied laws, along with handling legal documentation, contracts, and coordination on legal matters to support business operations.

Key Responsibilities

A. Company Secretarial & Compliance

  • Ensure compliance with the Companies Act, 2013 and other applicable corporate laws
  • Handle ROC filings including AOC-4, MGT-7/7A, PAS-3, DIR-3 KYC, SH-7, CHG forms, etc.
  • Organize and manage Board Meetings, Committee Meetings, and AGMs/EGMs
  • Draft notices, agendas, minutes, and resolutions
  • Maintain statutory registers, records, and minutes books
  • Liaise with MCA, ROC, auditors, and regulators
  • Ensure compliance with SEBI regulations (if applicable)
  • Assist in corporate restructuring, share allotment, and corporate actions

B. Legal & Contract Management

  • Draft, review, and vet:
  • Employment agreements
  • Vendor & service contracts
  • NDAs, MOUs, lease agreements
  • Provide legal support on corporate, commercial, and labour law matters including Support to promoter’s legal issues.
  • Handle legal notices, replies, and correspondence
  • Coordinate with external advocates, consultants, and law firms
  • Maintain contract repository and legal documentation records
  • Support litigation management and compliance tracking

C. Advisory & Governance

  • Advise management on corporate governance best practices
  • Identify legal and compliance risks and recommend mitigation measures
  • Ensure timely updates on amendments in laws and regulations
  • Support internal audits and compliance reviews

Key Skills & Competencies

  • Strong knowledge of Companies Act, 2013 and corporate laws
  • Good understanding of contract law and labour laws
  • Excellent drafting, documentation, and communication skills
  • Ability to handle multiple compliances independently
  • Attention to detail and strong analytical ability
  • Stakeholder and regulator coordination skills

Qualification & Experience

  • Company Secretary (CS) – Mandatory (ICSI Member)
  • LLB – Preferred
  • 5–7 years of relevant experience in Secretarial & Legal roles
  • Listed company experience will be an added advantage

Job Type: Full-time

Pay: ₹500,000.00 - ₹800,000.00 per year
