Role Overview:
The Company Secretary will be responsible for ensuring compliance with the Modaraba Companies and Modaraba (Floatation and Control) Ordinance, 1980, the SECP’s Modaraba Regulations, PSX, CDC and other applicable corporate laws in Pakistan. The role involves managing statutory obligations, supporting the Board of Directors, maintaining transparent governance practices, and acting as a key liaison between management, the Modaraba company, the Registrar of Modaraba, and regulators.

Key Responsibilities:
Corporate Governance & Board Support

  • Organize and administer Board of Directors’ and respective Committee meetings, including preparation of agendas, notices, working papers, and minutes
  • Advise the Chairman and Board on governance matters, SECP guidelines, and best practices.
  • Ensure timely filing and compliance with Code of Corporate Governance for Modarabas.

Regulatory Compliance
Ensure full compliance with:

  • Modaraba Companies and Modaraba Ordinance, 1980
  • Companies Act, 2017
  • SECP rules, regulations, directives, and guidelines
  • PSX rules, regulation
  • CDC rules, regulations
  • Shariah Compliance Framework applicable to Modarabas
  • Manage statutory filings with SECP/Registrar of Modaraba, including returns, annual/quarterly accounts, and other regulatory submissions.
  • Liaise with regulators, trustees, and auditors on compliance and governance matters.

Shareholders & Investor Relations

  • Manage statutory registers (members, directors, etc.) and maintain up-to-date records.
  • Handle communication with certificate holders (dividend distribution, notices, annual reports).
  • Conduct Annual General/Review Meetings and others Meetings in compliance with applicable law.

Shariah Compliance Support

  • Coordinate with Shariah Advisor/Board for certification of Shariah-compliant activities.
  • Facilitate compliance reporting for Modaraba’s Islamic operations.

Secretarial & Administrative Functions

  • Maintain custody of statutory documents, common seal, and official records of the Modaraba.
  • Draft legal documents, resolutions, and agreements as required.
  • Provide secretarial support to management on governance-related matters.

Qualifications & Skills

  • Member of Institute of Chartered Secretaries of Pakistan (ICSP), or BBA / MBA (Law specialization) from a recognized university with strong corporate governance background.
  • BBA or MBA (Law specialization) from a recognized university.
  • In-depth knowledge of SECP regulations, and corporate governance framework in Pakistan. MODARABAH RULES WILL BE AN ADDED ADVANTAGE
  • Strong communication, drafting, and record-keeping skills.
  • Integrity, confidentiality, and ability to interact with senior stakeholders.
  • GOVERNANCE COURSES SUCH AS PICG.

Experience

  • Minimum 5–7 years of relevant secretarial, governance, or compliance experience.
  • Prior experience with NBFCs, Islamic financial institutions, or Modarabas will be an added advantage.

Compensation:

  • Market Competitive Salary, and other benefits

Job Type: Full-time

Pay: Rs150,000.00 - Rs180,000.00 per month
