We are seeking an experienced and commercially minded Corporate Lawyer to join our growing legal team in the Kingdom of Saudi Arabia. This role offers the opportunity to work on high-profile corporate and transactional matters while ensuring compliance with Saudi regulations and supporting strategic business growth.

Key Responsibilities

• Provide legal advice on corporate governance and compliance under the regulations of the Ministry of Commerce.
• Draft, review, and negotiate a wide range of commercial contracts, including joint ventures, shareholder agreements, distribution agreements, and supplier contracts.
• Advise on compliance with the Companies Law and related regulations.
• Support mergers, acquisitions, restructuring, and investment transactions.
• Liaise with regulatory authorities such as the Capital Market Authority and the Ministry of Investment.
• Conduct legal due diligence and manage external counsel where required.
• Provide risk assessment and strategic legal guidance to senior management.

Requirements

• Bachelor's Degree in Law (LLB); LLM preferred.
• 4-6 years' experience in corporate/commercial law (law firm or in-house).
• Strong knowledge of Saudi corporate and regulatory frameworks.
• Experience handling M&A and complex commercial transactions.
• Fluency in Arabic and English (preferred)
• Admission to practice in Saudi Arabia is preferred.
