Company Secretary – IPO & Listed Company Compliance
Role Summary
The Company Secretary will act as the end-to-end internal owner of the Company’s mainboard IPO and will be responsible for establishing and managing all SEBI, Stock Exchange, and listed-entity compliances from pre-IPO readiness through post-listing operations.
Key Responsibilities
IPO Planning & Execution
- Own and drive the entire mainboard IPO process as the internal nodal officer.
- Plan and manage IPO readiness, regulatory gap analysis, and listing roadmap.
- Coordinate with Merchant Bankers, legal counsels, auditors, RTA, printers, and stock exchanges.
- Lead preparation, review, and filing of DRHP / RHP and all offer-related documentation.
- Ensure full compliance with SEBI (ICDR) Regulations, including eligibility, disclosures, and capital structure norms.
- Act as the primary interface with SEBI, manage observations, and drive timely regulatory closures.
- Track IPO timelines and dependencies to ensure on-time approval and listing.
- Support Board and management during IPO strategy discussions, regulatory interactions, and roadshow preparation.
SEBI, Stock Exchange & Listed Entity Compliance
- Set up and operate a robust listed-company compliance framework in line with SEBI (LODR), PIT, and SAST Regulations.
- Act as the Compliance Officer for SEBI and stock exchange matters (BSE/NSE).
- Manage all pre-listing, listing-day, and post-listing compliances, including disclosures and filings.
- Establish systems for:
- Material event disclosures
- Insider trading compliance
- Investor grievance handling via SCORES
- Liaise with stock exchanges on approvals, clarifications, and compliance reviews.
- Ensure adherence to corporate governance norms, including Board composition and committee requirements.
- Drive a zero-lapse compliance culture post listing.
Companies Act, 2013 & Secretarial Compliance
- Ensure full compliance under the Companies Act, 2013 and applicable rules.
- Manage:
- Board, Committee, and Shareholder meetings
- Drafting of agendas, notices, minutes, and resolutions
- Maintenance of statutory registers and records
- Handle filings with ROC, MCA, and other authorities.
- Ensure compliance with Secretarial Standards (SS-1, SS-2).
Ideal Candidate Snapshot
- Qualified Company Secretary (ACS/FCS – ICSI)
- Preferably with experience in manufacturing companies
- 12-18 years of relevant experience
- Hands-on mainboard IPO experience strongly preferred
- Deep working knowledge of SEBI ICDR & LODR
- Strong regulator, advisor, and stakeholder management capability
- Location : Kolkata (Corporate HQ)

Pay: ₹1,000,000.00 - ₹1,200,000.00 per year
