Synteq is seeking a proactive and pragmatic Corporate Counsel to serve as a key legal partner across the global organization. This role will focus on managing contracts, supporting business operations, and providing practical legal guidance that balances risk with business goals. Additionally, the role will support M&A activities, provide employment law guidance to HR and manage corporate governance and offer legal support to finance.

The ideal candidate is a hands-on legal professional with strong commercial instincts, excellent communication skills, and proven experience in contracts management and corporate transactions who thrives in a fast paced environment.

Key Responsibilities

  • Contracts Administration & Commercial Support
    • Draft, review, negotiate, and manage a wide range of agreements, including customer, vendor, partnership, and licensing contracts.
    • Develop and maintain contract templates, playbooks, and processes to streamline approvals and execution.
    • Partner with Sales, Procurement, and Operations teams to ensure contracts protect Synteq’s interests while enabling growth.
  • M&A and Corporate Transactions
    • Support M&A initiatives, including due diligence, contract review, risk assessment, and transaction documentation.
    • Coordinate with internal stakeholders and external counsel to facilitate acquisitions, joint ventures, and strategic partnerships.
    • Assist in post-transaction integration from a legal perspective.
  • Employment Law & HR Advisory
    • Provide employment law guidance to HR on policies, employee agreements, and workplace issues.
    • Support HR in resolving employment-related disputes and ensuring compliance with applicable laws.
  • Corporate Governance
    • Manage corporate governance activities, including preparing board agendas, drafting resolutions, maintaining minutes, and keeping the corporate minute book.
    • Ensure board and shareholder documentation is accurate, up-to-date, and compliant with regulatory requirements.
  • Finance Support
    • Review commercial agreements for financial risk and ensure alignment with accounting standards and company policy.
    • Advise Finance on regulatory, contractual, and transactional matters that could impact financial reporting or obligations.
    • Support M&A due diligence and assist with board or shareholder approvals related to financial decisions.
  • Legal Guidance & Risk Management
    • Provide practical legal advice on commercial matters, business initiatives, and operational issues.
    • Identify, manage, and mitigate legal and business risks proactively.
    • Coordinate with external counsel as needed for specialized legal matters or disputes.
    • Ensure appropriate insurance is in place across the business.

Qualifications

  • J.D. degree and active bar membership in good standing, preferably in DE, NY, CA, FL, or TX.
  • 4–8 years of legal experience, ideally from in-house or top-tier firm practice focused on commercial contracts, corporate transactions, M&A due diligence, and employment law.
  • Knowledge of Canadian law is a strong advantage.
  • Strong drafting, negotiation, and contract management skills.
  • Skilled at translating legal concepts into clear, actionable business guidance.
  • Ability to communicate legal concepts clearly to non-legal stakeholders.
  • Strategic thinker with a practical, business-oriented approach to problem-solving.
  • Exceptional communication and leadership skills with the ability to inspire cross-functional teams.
  • Entrepreneurial mindset, bias for action, and excitement for building in a fast-paced environment.
  • Prior exposure to data centers, digital mining, computer hardware, or enterprise software sectors is a strong plus.

Travel Requirements

This position requires the ability to travel within the United States and internationally, 10-25% of the time, based on business needs. Candidates must possess a valid U.S. passport for international travel and demonstrate the flexibility to accommodate occasional travel on short notice, including evenings or weekends, as needed. Familiarity with domestic and international travel processes is a plus.

Work Authorization

Applicants must be authorized to work in the United States without requiring current or future employer-sponsored work authorization (e.g., H-1B, O-1, etc.).

Language Requirements

Proficiency in English, both spoken and written, is required to effectively collaborate with team members and partners. This includes the ability to prepare detailed reports, deliver presentations, and engage in professional discussions.
