Lex Generalis (Lex) is a boutique law firm focused on servicing universities and research institutions, venture capital firms, and venture capital-backed businesses. Lex is based in Arizona and employs a small team that with a growing group of companies in the industrial technologies, energy transition, and life sciences spaces.
The clients Lex advises are focused on bringing to market new diagnostics for several forms of cancer, advanced capabilities for gene sequencing, energy efficiencies in lithium-ion battery manufacturing, and magnets without rare Earth elements. Lex's team works closely with these clients to secure financing, build and defend patent portfolios, and engage in beneficial commercial agreements.
We are looking for a full-time IP Paralegal to assist with the management and protection of the intellectual property portfolio, including patents, trademarks, copyrights, and trade secrets. The IP Paralegal will play a key role in supporting the legal team in various IP-related tasks and ensuring compliance with relevant laws and regulations. This position is remote.
Key Activities
- Assist in structuring, negotiating, and executing investment transactions, including venture capital financings, mergers and acquisitions, and other corporate transactions.
- Conduct legal research and analysis on various corporate and securities law issues, providing recommendations and guidance to the legal team and investment professionals.
- Conduct legal due diligence on potential investment opportunities, reviewing corporate documents, contracts, intellectual property rights, and regulatory compliance.
- Provide legal support and advice on corporate governance matters, including board meetings, shareholder communications, and regulatory filings.
- Review, draft, and negotiate a variety of commercial agreements, including investment agreements, term sheets, shareholder agreements, and other legal documents.
- Identify and mitigate potential legal risks in corporate transactions.
- Work closely with members of the legal team, investment professionals, and external legal counsel to support the firm's investment activities and strategic initiatives.
- May participate in client meetings and calls, depending on experience level.
Qualifications
- Juris Doctor (JD) degree from an accredited law school.
- Successful completion of the bar exam and licensure to practice law in the relevant jurisdiction (required).
- 2-4 years of practicing corporate law, preferably with a focus on venture capital/private equity.
- Strong understanding of corporate finance, securities law, and M&A transactions.
- Strong legal writing and research skills.
- Excellent analytical, problem-solving, and communication skills, with the ability to effectively communicate legal issues and recommendations to diverse stakeholders.
- Detail-oriented with strong organizational skills and the ability to manage multiple priorities and deadlines in a fast-paced environment.
- Proficiency in legal research databases and Microsoft Office Suite.
