Moore & Van Allen PLLC, a dynamic and fast-growing full-service law firm of more than 400 attorneys and professionals, is seeking an experienced Corporate Paralegal to join its Charlotte, NC office. This full-time position, under the direction of an attorney will assist with corporate, mergers & acquisitions, entity formation, and other transactional functions.


Essential Duties & Responsibilities:

Corporate, M&A, Transactional Functions:

  • Drafts and files certificates/articles of incorporation and certificate/articles of formation
  • Drafts written board consents in lieu of a meeting and written stockholder consents in lieu of a meeting, including both organizational and transactional closing matters
  • Drafts resolutions to be presented at a board meeting and/or stockholder meeting
  • Prepares basic organizational documents, including initial stock certificates and stock ledger
  • Completes and files Forms SS-4 to obtain EINs
  • Compiles and maintains minute books and stock ledgers
  • Conducts research to assist attorneys in determining jurisdictions for qualification
  • Prepares and files qualification and withdrawal applications
  • Orders lien, bankruptcy and litigation searches and summarizes search results
  • Prepares and files statutory filings with Secretary of State, including amendments, conversions, mergers, and dissolutions
  • Formulates solutions to problems which may arise, such as good standing issues
  • Interfaces with corporate service providers regarding statutory registered agent services (including changing contact information)

Closing and Post-Closing – General Functions:

  • Drafts certificates including secretary and officer certificates
  • Prepares closing files
  • Handles distribution of signature pages
  • Orders certified copies of charter documents and good standing certificates
  • Identifies and resolves problems that arise
  • Prepares and files UCC financing statements, amendments, and termination statements
  • Assists with closing, including compiling signature pages, filling in dates, tracking down final agreements and providing general support
  • Prepares closing index and assembles closing binder, and assists in distribution
  • Regular and in-person attendance is required to perform the essential functions of this interactive position.
  • Performs additional duties and responsibilities as assigned.

Qualifications & Experience:


  • Bachelor’s degree or equivalent combination of experience and education required.
  • Minimum of 3 years of experience as a paralegal in corporate business transactions and/or finance is required.
  • Candidates must have strong verbal and written communication skills, the ability to work independently on multiple outstanding matters, and be able to maintain a strong substantive understanding of the legal aspects of their work and related documentation.

Physical Requirements:

  • The work is primarily sedentary.
  • It requires the ability to communicate effectively using speech, vision, and hearing.
  • The work requires the use of hands for simple grasping and fine manipulations.
  • The work at times requires bending, squatting, and reaching, with the ability to lift, carry, push, or pull light weights.

May need to occasionally work more than the standard 37.5 hours per week to accomplish essential duties of the position.
