The Business Law Department is seeking a Corporate Securities Transactions Paralegal in Healthcare who thrives in sophisticated deal work and enjoys being at the center of moving parts. This role is ideal for someone who values precision, momentum, and responsibility and who wants a long-term career path, not a holding pattern.


You will be directly involved in high-level corporate transactions, supporting attorneys and clients through every phase of commercial closings. The work is substantive, fast-paced, and collaborative, with a strong emphasis on project management and managing multiple priorities without losing detail or judgment.


What You’ll Do as a Corporate Paralegal

  • Draft, review and file corporate documents related to entity formations, foreign qualifications, amendments, and related state forms and filings
  • Assist attorneys in M&A transactions, from due diligence to post-closing integration; prepare, review, and coordinate documents related to mergers, acquisitions, purchase agreements, banking, loans, and regulatory applications
  • Conduct due diligence with UCC searches, summaries, and filings
  • Assist with regulatory SEC filings, prepare federal Form D and applicable state “blue sky” securities filings
  • Prepare and file annual and periodic filings such as Form ADV, Form PF and Section 13D and 13G filings
  • Prepare and coordinate transactional closing including memos, checklists, executing signature sets, organizing and sending closing documents
  • Support post-closing activities


Qualifications

  • Bachelor’s degree, paralegal certificate, or four (4) years of equivalent work experience required
  • Minimum of three (3) years of relevant paraprofessional experience
  • Liaise with governmental agencies, state/local licensing organizations for entity formations, foreign qualifications, application and licensing approvals, and IRS filings
