The Business Law Department is seeking a Corporate Securities Transactions Paralegal in Healthcare who thrives in sophisticated deal work and enjoys being at the center of moving parts. You will be directly involved in high-level corporate transactions, supporting attorneys and clients through every phase of commercial closings. The work is substantive, fast-paced, and collaborative, with a strong emphasis on project management and managing multiple priorities without losing detail or judgment.

What You’ll Do as a Corporate Paralegal

• Draft, review and file corporate documents related to entity formations, foreign qualifications, amendments, and related state forms and filings
• Assist attorneys in M&A transactions, from due diligence to post-closing integration; prepare, review, and coordinate documents related to mergers, acquisitions, purchase agreements, banking, loans, and regulatory applications
• Conduct due diligence with UCC searches, summaries, and filings
• Assist with regulatory SEC filings, prepare federal Form D and applicable state “blue sky” securities filings
• Prepare and file annual and periodic filings such as Form ADV, Form PF and Section 13D and 13G filings
• Prepare and coordinate transactional closing including memos, checklists, executing signature sets, organizing and sending closing documents
• Support post-closing activities

Qualifications

• Bachelor’s degree, paralegal certificate, or four (4) years of equivalent work experience required
• Minimum of three (3) years of relevant paraprofessional experience
• Liaise with governmental agencies, state/local licensing organizations for entity formations, foreign qualifications, application and licensing approvals, and IRS filings
