Deputy Legal Counsel

Istanbul, Turkey

Aksoy Group, with its diversified and distinguished portfolio, operates across five key sectors: Retail, Power, Hospitality, Real Estate, and Trade . We are currently seeking a Deputy Legal Counsel to join our legal team and contribute to the Group’s dynamic and multi-sectoral business environment.


The position also offers direct exposure to Turcas A.Ş., a publicly listed joint venture company in which Aksoy is a key shareholder. This allows the Deputy Legal Counsel to gain valuable experience in corporate governance, joint venture management, and public company compliance procedures (including capital market regulations).


Responsibilities:


As a direct back up to the CLO, the Deputy Legal Counsel is expected to:


  • Provide legal support in potential joint ventures, M&A and financing projects and similar investment projects involving group companies.
  • Draft, review, and negotiate all types of commercial agreements ( service, procurement, lease, construction/contractor agreements ) with both legal precision and commercial perspective.
  • Monitor legal developments that may impact on the operations of the Group and brief relevant departments.
  • Develop and implement internal compliance policies, procedures, and awareness initiatives of the Group (including data protection / KVKK, corporate governance, competition law ) and provide internal training.
  • Carry out all corporate procedures and legal housekeeping of the Group (including preparation and execution of general assemblies, board resolutions, share transfers, corporate restructurings, spin-offs).
  • Manage and coordinate disputes and litigation (including commercial, labor, real estate) through external legal counsel; provide timely assessments and regular reports to the CLO.
  • Prepare legal correspondence and interact with regulatory authorities and public institutions (title deed, trade registries, municipalities and etc.) as required.
  • Support and mentor more junior legal staff, fostering both technical and behavioral development.


Qualifications:


  • Bachelor’s degree in Law from a reputable university.
  • Minimum 8 years of relevant legal experience, preferably a combination of law firm practice and in-house corporate/holding experience.
  • Strong knowledge of corporate law, contract law, compliance, labor law, data protection, real estate legislation and dispute resolution .
  • Experience with public company procedures is an asset.
  • Excellent written and spoken command of English.
  • Strong interpersonal and communication skills, with the ability to convey legal matters clearly to non-legal stakeholders.
  • Proactive, hands-on and responsible, with the ability to take initiative and ownership.
  • Capable of mentoring and supporting junior team members in both technical and behavioral development
  • Team-oriented, adaptable, and able to manage multiple priorities in a dynamic environment.
