The entity has been seeded by Enterprise and Asset Growth Programme of UK’s Foreign, Commonwealth & Development Office (FCDO) and our digital finance initiatives are being funded by the Gates Foundation.

Position Summary

The Executive Corporate Governance will provide essential support to the Company Secretary in ensuring the organization’s compliance with applicable corporate governance regulations, laws, and internal policies. The role is central to the smooth functioning of the Board, Committees, and Management Committee (ManCom), as well as the maintenance of statutory records. The incumbent will also contribute to strengthening the corporate governance framework of the company by supporting regulatory filings, governance improvements, and coordination with external advisors.

Job Responsibilities

Board & Committee Support

  • Assist in the preparation of Board and Committee agendas, papers, and minutes.
  • Coordinate logistics for meetings, including scheduling, venue booking, and circulation of materials.
  • Maintain accurate records of resolutions, decisions, and follow-up actions.
  • Track and monitor action items to ensure timely closure.

Management Committee (ManCom) Support

  • Convene and coordinate meetings of the Management Committee.
  • Draft and finalize accurate minutes of ManCom meetings.
  • Manage circulation of meeting papers and monitor progress on action points.

Statutory & Regulatory Compliance

  • Maintain statutory registers, records, and filings in compliance with the Companies Act 2017 and other relevant laws.
  • Assist in preparing and filing forms and returns with the Registrar of Companies and other regulatory bodies.
  • Support periodic reporting to the Economic Affairs Division.
  • Monitor developments in corporate law and governance regulations and update internal processes accordingly.

Corporate Governance Improvement

  • Support the Company Secretary in identifying and implementing improvements to corporate governance processes.
  • Assist in benchmarking best practices and embedding them into governance structures.
  • Contribute to initiatives that enhance transparency, accountability, and compliance.

External Legal Advisor Coordination

  • Act as liaison between the Company Secretariat and external legal advisors.
  • Compile and share documents and information required for legal opinions.
  • Coordinate communication and meetings with advisors to ensure effective information flow.

General Administration

  • Maintain the corporate governance calendar and track key compliance deadlines.
  • Organize and maintain systematic filing of governance documents.
  • Handle and maintain records of legal and other corporate documentation.
  • Undertake ad-hoc assignments as required by the Company Secretary.

Eligibility

Education & Experience

  • Bachelor’s degree in Law, Commerce, Business Administration, or a related field.
  • Up to one (1) year of relevant experience in corporate governance, company secretarial functions, or related areas. Fresh graduates with a strong academic record and relevant internships will also be considered.

Knowledge, Skills and Abilities

  • Basic understanding of the Companies Act, corporate governance principles, and secretarial practices.
  • Excellent verbal and written communication skills.
  • Strong attention to detail, accuracy, and organizational skills.
  • Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint, Outlook).
  • Ability to handle confidential information with discretion.
  • Proactive, self-motivated, and collaborative mindset
