The Opportunity: Be Our Governance & Legal Cornerstone
This is a landmark opportunity to join our executive leadership team and steer the company through its most critical transformation—from a private enterprise to a respected publicly listed institution. As the Head of Legal & Secretarial, you will be the ultimate owner of our corporate governance, legal strategy, and regulatory compliance. You will be the trusted advisor to the Board and CEO, providing strategic counsel on all legal matters and ensuring our IPO and subsequent journey as a listed company are executed with the highest standards of integrity and excellence.
Key Responsibilities

IPO Leadership & Corporate Finance:

Lead the legal and secretarial workstreams for the IPO, including comprehensive due diligence, verification of the DRHP, and managing all related documentation.

Act as the primary interface with SEBI, stock exchanges, legal counsels, and other regulatory bodies throughout the listing process.

Provide strategic legal guidance on future capital-raising activities, including FPOs, QIPs, and debt financing.

Corporate Governance & Secretarial Compliance:

Establish and manage a world-class corporate governance framework befitting a listed entity.

Oversee all secretarial functions, including conducting Board, Committee, and General Meetings, and ensuring meticulous maintenance of minutes and statutory registers.

Ensure complete compliance with the Companies Act, 2013, SEBI (LODR) Regulations, Insider Trading regulations, and other applicable corporate laws.

Legal Strategy & Operations:

Draft, negotiate, and manage a wide array of commercial contracts, including vendor agreements, technology licenses, payment gateway contracts, and marketing partnerships.

Proactively manage all litigation and disputes, developing strategies to mitigate risk and protect the company's interests.

Oversee legal aspects of Intellectual Property (IP) protection, data privacy laws, and other regulations specific to the e-commerce industry.

Strategic Business Advisory:

Act as a strategic business partner to the leadership team, providing pragmatic legal advice on new business initiatives, expansion plans, and risk management.

Keep the Board and management informed about evolving legal and regulatory landscapes that could impact the business.
The Ideal Candidate

Qualification: You must be a qualified Company Secretary (CS) and hold a degree in Law (LLB/LLM).

Experience: You have 10+ years of robust experience in legal and secretarial roles.

Listed Entity DNA: You have significant, hands-on experience working within a listed company in India. This is a non-negotiable requirement.

IPO Champion: You have directly led or played a pivotal senior role in the end-to-end IPO process for a company.

Domain Expertise: You possess deep, practical knowledge of the Companies Act 2013, SEBI Regulations (ICDR, LODR, PIT), FEMA, and Contract Law. Familiarity with IT Act, data privacy laws, and e-commerce regulations is a strong plus.

Business Acumen: You are more than a lawyer; you are a business leader with exceptional negotiation skills, high ethical standards, and the ability to provide sound, commercial-minded advice.

Gravitas: You have outstanding communication skills and the presence to confidently advise and influence the Board of Directors and senior-most executives.
