Job Description

Attend to Noatum Ports legal matters and provide legal advice regarding commercial, contractual, corporate matters, litigation monitoring, due diligence and any other relevant areas. Ensure alignment to Group corporate governance and international and national legislation where the business operates.

Responsibilities
  • Provide legal advice on daily activities of the global business across complex legal landscapes to safeguard interests and ensure that transactions are conducted in compliance with applicable law as well as policies and procedures.
  • Review and grant legal sign off for contracts and agreements to minimize financial, legal and reputational risks.
  • Support the development of compliance related policies, procedures and standards and update existing ones.
  • Prepare and present reports to appraise the progress of compliance initiatives and update the business and entities on significant and new decisions, legislation, emerging trends, risk factors and regulatory rulings that may affect the business or existing company policy.
  • Assist in preparing, reviewing and updating legal documents, policies, procedures and contracts.
  • Review, draft and validate all financial, regulatory, governmental, IT and other contractual agreements to ensure compliance with legal provisions and uphold the interests of the business.
  • Provide advice to lawyers in completing the legal due diligence process for each transaction within the prescribed timeline in order to ensure effective functioning of the Legal Department.
  • Maintain an updated and accurate record of all corporate and commercial documents, agreements, property papers and rights agreements etc., including certified copies obtained from various authorities in safe custody.
  • Supervise outsourcing and liaise with external lawyers/counsellors to prepare briefs when required and to attend to legal matters and solicit advice within their jurisdiction.
  • Liaise internally across departments to highlight discrepancies in contractual and legal documentation received from clients, vendors and other contracting parties.
  • Follow up claims/disputes and cases in order to settle according to the rule of law.
  • Identify skill gaps and training requirements for country level legal teams to ensure consistent high performance.
  • Participate in the formulation of the overall Legal strategy and ensure alignment with group objectives.
Qualifications
  • Bachelor's degree in Law or equivalent; LLM/PhD from a recognised university.
  • High level of proficiency in English and Arabic.
  • A minimum of years of experience.
  • Proven experience practicing law in contracts, construction, projects, and relevant industries, preferably with a nationally or internationally renowned law firm or corporate, especially in the ports, transport and logistics sectors.
  • Knowledge of M&A and administrative law considered an asset.
  • Strong negotiation and relationship management skills.
  • Strong problem solving and critical thinking skills to identify and address complex challenges and opportunities and make data driven decisions.
  • Cultural sensitivity and adaptability.
  • Strong analytical and research skills to effectively provide legal solutions.
