Legal Counsel

Overview of the role

This role is part of a high-performing in-house legal team that works at the forefront of emerging technologies and fast-evolving regulatory landscapes. You will provide proactive, solution-oriented legal support across a wide range of commercial, corporate, and regulatory matters. The position requires strong legal judgment, the ability to think strategically, and the capability to manage complex matters in a fast-paced environment. You will collaborate closely with business, product, engineering, and compliance teams to assess risks, shape strategy, and support business objectives.

Expectations from the role

Commercial Contract Drafting & Negotiation

• Draft, review, and negotiate a variety of commercial agreements, including NDAs, vendor contracts, HR documents, licenses, intellectual property agreements, co-marketing agreements, app distribution agreements, and revenue-share arrangements.
• Highlight legal and commercial risks, offering practical, business-friendly solutions.
• Maintain and continuously improve standard templates, processes, and negotiation playbooks.

Corporate Governance & Operational Support

• Assist in day-to-day corporate matters such as preparing resolutions, filings, share transfers, statutory register updates, and maintaining company records.
• Support incorporation processes, corporate secretarial functions, and documentation management.
• Coordinate with external service providers for notarizations, attestations, and regulatory submissions.

Support for New Ventures, Projects & Cross-Functional Initiatives

• Prepare and organize legal documentation for new projects, business initiatives, and corporate structuring activities.
• Track deliverables, manage document execution processes, and ensure secure storage of signed documents.
• Work collaboratively with internal teams to ensure workflows remain efficient, aligned, and legally compliant.

Legal Research & Advisory Work

• Conduct targeted legal research on corporate, commercial, employment, regulatory, and technology-related issues.
• Provide clear, concise summaries and recommendations to support business and legal decision-making.
• Advise teams on key risks, deal structures, regulatory requirements, internal approval processes, and negotiation strategy.

Regulatory & Compliance Advisory

• Partner with product, engineering, and compliance teams to assess regulatory risks related to new features, technologies, and business models.
• Develop positions on significant legal and regulatory matters affecting the company.
• Support implementation of internal policies, compliance frameworks, and legal risk-mitigation strategies

Qualifications and Requirements

• Licensed to practice law in Pakistan and in good standing.
• 5–7 years of post-qualification experience in a law firm or in-house legal role.
• Strong experience drafting, negotiating, and structuring complex commercial transactions.
• Prior exposure to technology, internet, or innovation-driven companies.
• Excellent written and spoken English, with strong communication skills for distilling complex concepts into actionable guidance.
• Exceptional organizational skills and ability to manage multiple projects under tight deadlines.
