Academic & Professional Qualifications

Academic qualifications: Bachelor’s degree in law (LLB) is required;

Professional qualifications: Bar or Law Society qualification. UK/ US/ Aus/ Canada Bar or Law Society qualification is preferred. UAE bar/advocacy rights are not mandatory for this role.
Language
-
Fluency in written and spoken English is essential, since all business communications and most contracts for In^X business are drafted in English.

Arabic legal drafting and negotiation skills are also necessary when we engage with some government sector customers and to manage any litigation in the UAE courts (whilst engaging advocates).
Experience
-
Minimum of 5-8 years of relevant legal experience (contracts/commercial/legal operations), preferably within UAE. Mixture of in-house experience in Multinational or major regional companies and top-tier law firms is preferred.

Experience working in Big4 firms (EY/ PWC/ Deloitte/ KPMG) or Legal500/ Chambers ranked-law firms is a plus.

Experience in the Education & Training sector, government contracting, consulting services, or regulated environments is preferred.

Demonstrated ability to manage multiple contract reviews and legal requests under time-sensitive deadlines.

Experience with coordinating external counsel for litigation, arbitration, and dispute matters.
Technical & Soft Skills

Strong knowledge of contract drafting, review, negotiation support, and contract risk management.

Knowledge and experience advising on the UAE commercial companies law and UAE civil code.

Working knowledge of UAE labour law processes and escalation channels (MOHRE) and related regulatory expectations.

Duties and Responsibilities

Commercial Contracting
: Draft, review, and negotiate a wide array of agreements, including MSAs, SLAs, NDAs, supplier/vendor contracts, and agreements, including legal agreements which are core to our business: In^X program or curriculum development agreements; outsourcing or consulting agreements (for content developers, trainers, faculty), partnership/ JV agreements, IP assignment and licensing agreements.

Corporate Governance
: Manage entity structuring (mainland and free zone), board/shareholder resolutions, and maintenance of corporate records.

Regulatory Compliance
: Monitor and advise on timely license updates and renewals, changes in UAE legislation, including commercial companies laws, data protection (PDPL), competition law, and labour laws.

Strategic Transactions
: Support business partnership activities, including legal due diligence, transaction execution, and post-closing formalities.

Dispute Management
: Liaise with external counsel on litigation, arbitration, and labor claims, providing factual summaries and strategy support.

Risk Mitigation
: Identify potential legal risks in business operations and develop practical strategies to mitigate them while meeting commercial goals.

Support Negotiation
: Support the business teams with negotiation of contract by advising on legal risk and proposing balanced commercial/legal clauses.

Maintain Contract Templates
: Maintain and continuously improve standard templates and clause libraries aligned with institutional risk appetite.
Regulatory Compliance & Governance

Support compliance with applicable education and training regulations, licensing requirements, and accreditation-linked obligations.

Support HR and management on employment-related documentation and compliance requirements, including regulatory requirement aligned documentation.

Support compliance with data protection and privacy obligations in contracts and operational processes.

Assist in developing and updating internal legal policies, SOPs, governance documentation, and approval matrices.

Maintain structured records for contracts, compliance actions, and legal decisions for audit readiness.
Escalations, Disputes & External Coordination

Support dispute prevention through strong documentation discipline and early identification of contractual non-compliance.

Prepare dispute documentation packs (timelines, evidence, contract extracts, risk notes) for internal escalation.

Coordinate with regulatory bodies and authorities (e.g., MOHRE, and other applicable regulators) for formal responses, notices, and compliance matters as required.

Coordinate with external counsel for litigation, arbitration, and court matters (documentation, case summaries, institutional coordination).

Support leadership with escalation briefings and legal risk impact assessments.
