A leading U.S.-based transportation and logistics organization with a strong public-market presence is seeking to add a Capital Markets Counsel to its in-house legal team. This role is based in Jacksonville, Florida, where the legal team works closely with senior leadership, finance, treasury, and other key business functions.
About the Role
The Capital Markets Counsel will provide legal support across a broad range of capital markets, securities, and corporate matters. Reporting into senior legal leadership, this role will be well suited to an attorney with approximately four years’ experience, ideally trained at a leading law firm, who is looking to transition into a high-quality in-house position.
The role offers meaningful exposure to public company reporting, financing transactions, and strategic initiatives, with the opportunity to work closely with internal stakeholders and external advisors.
Key responsibilities include:
• Provide legal advice to management, finance, and treasury teams on capital markets, securities law, and related corporate matters.
• Support public and private capital markets transactions, including debt and equity offerings.
• Assist with SEC reporting and disclosure obligations, including Forms 10-K, 10-Q, 8-K, and proxy materials.
• Advise on securities law compliance, disclosure controls, and corporate governance requirements.
• Coordinate with and manage external counsel, underwriters, and other professional advisors.
• Support broader corporate and strategic initiatives as needed, including special projects.
Qualifications
• Juris Doctor (JD) from an accredited law school and admission to a U.S. state bar in good standing.
• Approximately 4 years’ post-qualification experience, with a strong focus on capital markets and securities law.
• Experience gained at a reputable U.S. law firm advising public companies on financing transactions and disclosure matters.
• Prior in-house experience is beneficial but not required.
• Strong analytical, drafting, and communication skills, with the ability to provide clear, practical, and business-oriented advice.
• Comfortable operating in a fast-paced, collaborative, in-house environment with multiple stakeholders.
• Fluency in English.
