Role: Legal Manager

Years of Experience: 7 to 10 years

Legal Responsibilities:

1. Legal Advisory: Provide legal advice to the Board of Directors and management on corporate governance, contracts, litigation, intellectual property, mergers & acquisitions, and other legal matters. Proactively identify legal risks and implement solutions to mitigate potential legal exposure.

2. Contracts & Agreements: Draft, review, and negotiate contracts, including vendor agreements, partnership agreements, non disclosure agreements, joint ventures, and other commercial contracts. Ensure contracts align with business objectives and legal compliance.

3. Litigation & Dispute Resolution: Manage litigation processes, including coordination with external counsel and representing the company in legal proceedings. Lead resolution of disputes, including arbitration and mediation, with a focus on minimizing legal risks and costs.

4. Compliance & Regulatory Affairs: Ensure the company’s compliance with applicable laws and regulations, including SEBI regulations, environmental laws, labour laws, and industry-specific regulations. Implement effective systems to monitor changes in legislation and advise the company on regulatory developments.

Required Qualifications & Experience:

Bachelors/master’s degree in law (LLB/LLM) from a recognized institution.

Experience:

Minimum 7+ years of experience into Corporate Legal, with specific experience in a listed company. Strong knowledge of Corporate Laws, SEBI regulations, Company Secretary, Compliance requirements, and litigation management.

Proven experience in handling legal matters related to commercial contracts, M&A, and corporate governance.

Technical Skills:

In-depth knowledge of the Companies Act, SEBI guidelines, Stock Exchange regulations, Listing Obligations, FEMA, and related laws.

Proficiency in legal research and drafting of agreements, notices, contracts, and litigation documents.

Key Competencies:

Strong organizational and communication skills with attention to detail.

Excellent leadership and decision-making abilities.

Ability to manage multiple stakeholders and work under pressure.

Sound understanding of corporate governance principles and regulatory compliance.

Proficiency in legal management software and MS Office Suite.
