1- Qualified Chartered Accountant (CA from ICAP) with 1-2 years of post-qualification experience. Experience working in a listed company would be a plus.
2- In-depth knowledge of corporate and secretarial practices.
3- Functional understanding of ERP environments, company laws, IFRS, and taxation laws.
4- Strong analytical and problem-solving abilities, with attention to detail.
5- Ability to work independently with initiative and collaborate with cross-functional teams to meet deadlines.
1- Effective implementation of the Code of Corporate Governance, corporate laws, and secretarial practices across the organization.
2- Plan, prepare agendas, consolidate Board Packs, and convene Board Meetings, meetings of its Committees, and General Meetings (AGM/EOGM), including issuing notices and ensuring other legal formalities such as proxy management and quorum checks.
3- Record and circulate, in a timely manner, the minutes of the Board meetings and meetings of its Committees, with effective follow-up on the Board’s Comeback / Action Items.
4- Maintain statutory registers/records (members, directors, charges, related parties, etc.), declarations, and consents.
5- Maintain liaison with consultants / stakeholders to lead the company’s journey to an IPO / public listing.
6- Ensure SECP-related compliance, including accurate and timely filing of Corporate Returns.
7- Develop, implement, and periodically update governance policies/SOPs.
8- Support key stakeholders in business process re-engineering based on cost / efficiency optimization solutions.
9- Provide support for the application of Accounting Standards, Corporate Laws, and fiscal regulations.
