Paralegal/Contract Administrator
Place Services, Inc. is actively seeking a skilled and experienced
Paralegal/Contract Administrator
to assist our in-house General Counsel with a variety of paralegal needs. This position is full-time onsite in our Canton, GA location. We offer full benefits including medical, dental, disability and employee assistance programs.
Position Overview:
The Paralegal/Contract Administrator is instrumental in accomplishing a wide variety of tasks that range from those that are more administrative to some that are more tactical. The selected individual is heavily involved in contract review and negotiation, outside counsel management, litigation discovery, procedure development (when needed), and M&A transactions. This is a critical role as it ensures that PSI maintains integrity and consistency with both clients and subcontractors when conducting business.
Key Responsibilities:

Based on Corporate contracting standards and guidelines, review, draft alternative language, negotiate and finalize corporate contracts (including client contracts, non-disclosure, master service agreements, purchase & services, consulting, service, AIA, construction, concession, location, and standard license agreements).

Manage all assigned administrative aspects of the contract review and approval process, including cataloguing, and tracking contracts’ status, implement and share use of contract templates and contract procedures, maintain a contract database, and recommend policies and procedures to ensure proper & orderly processing of contracts as Company and processes grow and mature.

Manages document intake, calendaring, and file management for the legal department.

Maintain electronic and hard copy corporate contract files.

Assist and participate in M&A transactions as needed.

Conduct legal research into multiple states’ statutes, court rules and federal laws.

Track, review, and process outside counsel fees.

Interface and collaborate with corporate departments & teams which includes but is not limited to project teams, estimating teams, accounting, and human resources.

Engage with outside counsel as needed to ensure timely and effective legal representation with minimal disruption to company business.

Perform document creation and proofreading (primarily) of various legal documents, agreements, memoranda, contracts, spreadsheets, and PowerPoint presentations.

Track contract flow and vendor qualifications using contract management systems (CMS), vendor management systems.

Facilitate discovery process by conveying documentation needs internally, collecting documents, reviewing, culling and transmitting to outside counsel.

Develop, collect, and analyze metrics tracking risk management and corporate compliance with standards and guidelines.

Other duties as assigned to enhance the legal support to PSI.
Required Qualifications:

5+ years of paralegal experience, supporting contract review and negotiation.

Experience with litigation matters at a firm or in-house a plus but not required.

Excellent verbal and written communication skills.

Excellent writing and legal drafting skills.

Excellent analytical and critical thinking capabilities.

Experience with LexisNexis, Westlaw, Fast Case or similar.

Highly proficient in MS Office Suite (Word, Excel, PowerPoint).

Bachelor’s degree and/or paralegal certificate highly preferred.

Outstanding references.
Physical Requirements:

Prolonged periods sitting at a desk and working on a computer.

Must be able to lift up to 15 pounds at times.

Must be willing to travel as needed.
