The Team</b></h3><p>
The Benefits team is a small but powerful team. We are part of the Human Resources function, and our job is to ensure that associate benefit offerings are delivering value to our associates, their families and Fidelity. We listen to associate feedback, benchmark the competition, and then measure every one of the 50+ programs for which we are responsible.</p>
The base salary range for this position is $74,000-141,000 USD per year.
<p>Placement in the range will vary based on job responsibilities and scope, geographic location, candidate&rsquo;s relevant experience, and other factors.</p><p>
Base salary is only part of the total compensation package. Depending on the position and eligibility requirements, the offer package may also include bonus or other variable compensation.

Reporting to the Associate General Counsel, Commercial &amp; Employment, the Sr. Corporate Counsel (Commercial) will be a key driver of OpenGov&rsquo;s success. This role requires someone who acts with urgency, exercises strong business judgment, and manages high-volumes of commercial work with independence and precision. You&rsquo;ll work cross-functionally with teams including Sales, Security, Finance, and Revenue Operations in a fast-paced, collaborative, and innovative environment&mdash;helping scale our legal infrastructure to support OpenGov&rsquo;s continued growth.</p><p>

Lead Commercial Transactions: Draft, negotiate, and close SaaS subscription, professional services, reseller, vendor, and partnership agreements&mdash;balancing speed and quality to enable business success.</p></li><li><p>
Partner with the Business: Build trusted relationships across the company, acting as a strategic advisor to internal stakeholders and developing creative, scalable solutions for commercial issues.</p></li><li><p>
Act with Urgency: Demonstrate ownership and responsiveness in driving deals to completion and supporting business priorities with a sense of accountability and timeliness.</p></li><li><p>
Serve as a Trusted Resource: Be a key member of the Commercial Legal Team, providing guidance, perspective, and mentorship to colleagues while fostering a collaborative, high-performing team culture.</p></li><li><p>
Enhance Legal Operations: Collaborate with the Commercial Legal Team to refine contract templates, playbooks, and workflows to improve efficiency and scalability.</p></li><li><p>

Requirements and Preferred Experience:</b></h2><ul><li><p>
J.D. from an ABA-accredited law school and active membership in at least one U.S. state bar.<br>
9+ years of experience, including substantial hands-on work negotiating SaaS, cloud, or other technology transactions.<br>
Deep commercial expertise supporting Sales organizations and driving end-to-end contract negotiations.</p></li><li><p>
Preferred experience in government contracting or public sector procurement.</p></li><li><p>
Self-starter with strong prioritization and project management skills&mdash;able to operate independently in a fast-paced, high-volume environment.</p></li><li><p>
Business-oriented mindset with sound judgment and the ability to propose practical, scalable solutions.</p></li><li><p>
