The Senior Counsel/Counsel in the Voting Rights Project (VRP) will support three (3) areas:<ul><li>
Litigation - Protect equal and unfettered access to the ballot by all eligible voters, particularly those traditionally disfranchised, and oppose discriminatory redistricting.
</li><li>Election Protection &ndash; Support the nation&rsquo;s largest, non-partisan voter protection program, which works year-round to address barriers to the ballot box.</li><li>
Programmatic Activities - Promote voting rights through written and oral advocacy, participation in webinars and other events, and support for partner organizations.</li></ul>
The Senior Counsel/Counsel works under the supervision of the Director of the Voting Rights Project. 
 
What You&rsquo;ll be Doing: 
Responsibilities of Senior Counsel/Counsel include but are not limited to:<ul><li>
Leading and participating in litigation before federal and state trial and appellate courts throughout the country.</li><li>
Leading and participating in all stages of litigation, from drafting pleadings and briefs to conducting discovery to advocating in court.</li><li>
Investigating matters and developing new cases.</li><li>
Preparing amicus briefs.</li><li>
Collaborating and coordinating with the Director and other attorneys in the Voting Rights Project on litigation and the development of the overall VRP strategy.</li><li>
Providing legal support to implement the programmatic work of the Project, including Election Protection.</li><li>

Minimum Requirements and Competencies:<ul><li>

Job Description

Where You&rsquo;ll Work
This position is based in our Washington, D.C. office. We leverage a hybrid working model working three days in the office, two days optional remote work.
What You&rsquo;ll Do
 
This new position will play a key role in supporting board governance and legal operations across the organization. Reporting to the Chief of Staff and collaborating closely with the General Counsel, this Liaison is responsible for coordinating Board and Committee meetings, maintaining official records, ensuring compliance with governance policies, and facilitating communication among internal and external stakeholders. In addition, the Liaison assists with legal research, contract management, compliance filings, and litigation support.
BOARD GOVERNANCE
<ul><li>Supports administrative liaison functions to the board of trustees by scheduling annual and ad hoc governance meetings, taking and distributing minutes, facilitating annual conflict of interest disclosures, organizing and maintaining all governance documents, and other needs assigned.
</li><li>Supports Board and Committee meeting governance processes by managing the preparation, organization, and distribution of formal meeting materials, ensuring accurate and timely delivery aligned with legal and/or compliance requirements.
</li><li>Serves as primary liaison for the planning and execution of all in person Board and governance meetings and events. Coordinates and manages virtual meetings.
</li><li>Provides on-site support during Board and Committee meetings, ensuring materials, resolutions and governance-related deliverables are executed and documented appropriately.
</li><li>Maintains official corporate records, including meeting books and corporate governance files, ensuring all documentation is accurate and compliant with regulatory and internal standards.
</li><li>Coordinates legal aspects of governance-related projects from initiation through post-implementation, ensuring deliverables are met within scope and legal obligations are satisfied.
</li><li>Identifies, tracks, and escalates legal and compliance-related risks or project issues, offering resolution strategies in collaboration with General Counsel and governance leadership.
</li><li>Tracks and manages governance-related calendars and critical deadlines, such as meeting cycles, consent execution and compliance filings, to ensure adherence to legal and regulatory obligations.
</li></ul>LEGAL SUPPORT
<ul><li>Engages cross-functionally across all organizational levels on corporate and compliance matters; additionally supports due diligence efforts and manages related project tasks as needed.
</li><li>Collaborates consistently with internal legal counsel and key stakeholders to deliver timely project updates, legal analyses, and supporting documentation.
</li><li>Serves as the record management lead, maintaining legal files and contract management systems, ensuring accurate documentation and version control.
</li><li>Drafts, reviews, and proposes contract modifications, legal correspondence, and other documents.
</li><li>Conducts legal research and summarizes findings for internal use.
</li><li>Supports the senior leadership team with corporate governance initiatives and legal projects, including preparing documentation, monitoring legal milestones, drafting project deliverables, supporting legal compliance and reporting efforts.
</li><li>Assists with compliance and regulatory filings (e.g., Secretary of State, IRS, etc.).
</li><li>Supports litigation preparation and management, including discovery and subpoena responses.

Experience and Skills:

Typical qualifications would be equivalent to:
<ul><li>Associate or bachelor&rsquo;s degree.
</li><li>Minimum 3 years of experience providing operational support for Boards and/or other forms of corporate governance.
</li><li>Paralegal certificate from an ABA-accredited program, preferred.
</li><li>Experience supporting a legal department.
</li><li>Strong understanding of legal terminology, contract structure, and governance framework.
</li><li>Excellent written and verbal communication skills.
</li><li>Proven ability to establish a high degree of discretion, credibility, respect, and trust at all levels.
</li><li>Strong organizational, planning, and project management skills and willingness to take ownership of special projects and drive them to successful completion.
